Common use of Anti-Bribery and Anti-Corruption Clause in Contracts

Anti-Bribery and Anti-Corruption. a) PSI and the Sponsor are subject to anti- bribery and anti-corruption laws which make it a criminal offence for PSI or the Sponsor to directly or indirectly offer, give or promise a Bribe to a Government Official or other business counterpart. A “Bribe” is an offer, delivery or promise of a payment or anything of value to any Government Official or other business counterpart for the purpose of (i) unduly inducing or influencing that person to do or refrain from any official act; (ii) attempting to gain or maintain business; or (iii) securing an improper advantage. A "Government Official" is any person acting in an official capacity for or on behalf of any government, including for its public agencies, departments and/or international organizations.
