Anti-Terrorism Representations. Tenant represents and warrants to Landlord that: (a) Tenant is not, and shall not during the Term of this Lease become, a person or entity with whom Landlord is restricted from doing business under the Uniting and Strengthening America by Providing Appropriate Tools Required to Intercept and Obstruct Terrorism Act of 2001, H.R. 3162, Public Law 107-56 (commonly known as the “USA Patriot Act”) and Executive Order Number 13224 on Terrorism Financing, effective September 24, 2001 and regulations promulgated pursuant thereto, including, without limitation, persons and entities named on the Office of Foreign Asset Control Specially Designated Nationals and Blocked Persons List (collectively, “Prohibited Persons”); and (b) To the best of Tenant’s knowledge, Tenant is not currently conducting any business or engaged in any transactions or dealings, or otherwise associated with, any Prohibited Persons in connection with the use or occupancy of the Premises; and (c) Tenant will not in the future during the Term of this Lease knowingly engage in any transactions or dealings, or be otherwise associated with, any Prohibited Persons in connection with the use or occupancy of the Premises. Subtenant that (a1) Tenant is notneither Sublandlord, and shall not during the Term its constituents or affiliates nor any of this Lease become, a person or entity with whom Landlord is restricted from doing business under the Uniting and Strengthening America by Providing Appropriate Tools Required to Intercept and Obstruct Terrorism Act of 2001, H.R. 3162, Public Law 107-56 (commonly known as the “USA Patriot Act”) and Executive Order Number 13224 on Terrorism Financing, effective September 24, 2001 and regulations promulgated pursuant thereto, including, without limitation, persons and entities named on the Office of Foreign Asset Control Specially Designated Nationals and Blocked Persons List their respective agents (collectively, “Prohibited PersonsSublandlord Parties”); and
(b) To are in violation of any law relating to terrorism or money laundering, including but not limited to, Executive Order No. 13224 on Terrorist Financing, the best of Tenant’s knowledgeU.S. Bank Secrecy Act, Tenant is not currently conducting any business or engaged in any transactions or dealingsas amended by the Patriot Act, or otherwise associated with, any Prohibited Persons in connection the Trading with the use or occupancy of Enemy Act, the Premises; and
(c) Tenant will not in the future during the Term of this Lease knowingly engage in any transactions or dealings, or be otherwise associated with, any Prohibited Persons in connection with the use or occupancy of the Premises. Landlord represents International Emergency Economic Powers Act and warrants to Tenant that:
(a) Landlord is not, and shall not during the Term of this Lease become, a person or entity with whom Tenant is restricted from doing business under the Uniting and Strengthening America by Providing Appropriate Tools Required to Intercept and Obstruct Terrorism Act of 2001, H.R. 3162, Public Law 107-56 (commonly known as the “USA Patriot Act”) and Executive Order Number 13224 on Terrorism Financing, effective September 24, 2001 and all regulations promulgated pursuant theretothereunder, including, without limitation, persons and entities named on the Office of Foreign Asset Control Specially Designated Nationals and Blocked Persons List all as amended from time to time (collectively, “Prohibited PersonsAnti-Terrorism Law”); and
(d2) To no action, proceeding, investigation, charge, claim, report, or notice has been filed, commenced, or threatened against any of the best Sublandlord Parties alleging any violation of Landlord’s any Anti-Terrorism Law; (3) none of the Sublandlord Parties has, after due inquiry, knowledge Landlord is not currently conducting of any business fact, event, circumstance, situation or engaged condition which could reasonably be expected to result in any transactions or dealingsaction, proceeding, investigation, charge, claim, report, notice, or otherwise associated withpenalty being filed, commenced, threatened or imposed against any Prohibited Persons in connection of them relating to any violation of or failure to comply with the use or occupancy any Anti-Terrorism Law; (4) none of the Premises; and
Sublandlord Parties is a “Prohibited Person”. As used in this Sublease, “Prohibited Person” shall mean any (e1) Landlord will not person or entity who is on the OFAC List or any “designated national,” “specially designated national,” “specially designated terrorist,” “specially designated global terrorist,” “foreign terrorist organization,” “blocked person,” or “specially designated narcotics trafficker,” within the definitions set forth in the future during the Term of this Lease knowingly engage in any transactions or dealings, or be otherwise associated with, any Prohibited Persons in connection with the use or occupancy Foreign Assets Control Regulations of the Premises.United States Treasury Department, 31 C.F.R., Subtitle B, Chapter V, as amended; (2) any government or entity against whom the United States maintains economic or other sanctions or embargoes under the Regulations of the United States Treasury Department,
