Applicable law, place of jurisdiction. Swiss law shall apply to all relationships between the Parties. The United Nations Convention on Contracts for the International Sale of Goods (CISG) of 11 April 1980 is expressly excluded. Exclusive place of jurisdiction for all disputes is Basel-City, Switzerland. With respect to the enforcement of any of Supplier’s obligations towards AMAC under the Agreement and If there is no ordinary place of foreclosure (Betreibungsort) in Switzerland in relation to Supplier pursuant to the Bundesgesetz über Schuldbetreibung und Konkurs ("SchKG"), the place of foreclosure (Betreibungsort) shall be Basel, which shall operate as a special domicile (Spezialdomizil) of Supplier pursuant to article 50 section 2 SchKG.
