Common use of Application by Principal Paying Agent Clause in Contracts

Application by Principal Paying Agent. The Principal Paying Agent shall apply (or direct or cause application of) each amount paid to it hereunder in accordance with Clause 7 (Payments to Noteholders ) (and shall, until such time, hold such amounts as agent for the Issuer) and shall not be obliged to repay any such amount unless the claim for the relevant payment becomes void under Condition 10 (Prescription), in which event it shall refund at the written request of the Issuer such portion of such amount as relates to such payment by paying the same by credit transfer in Sterling to such account with such bank as the Issuer has by notice to the Principal Paying Agent specified for the purpose.

Application by Principal Paying Agent. The Principal Paying Agent shall apply (or direct or cause application of) each amount paid to it hereunder in accordance with Clause 7 (Payments to Noteholders ) (and shall, until such time, hold such amounts as agent for the IssuerNoteholders) and shall not be obliged to repay any such amount unless the claim for the relevant payment becomes void under Condition 10 15 (Prescription)) or otherwise ceases in accordance with the Conditions, in which event it shall refund at the written request of the relevant Issuer such portion of such amount as relates to such payment by paying the same by credit transfer in Sterling to such account with such bank as the relevant Issuer has by notice to the Principal Paying Agent specified for the purpose.

The Principal Paying Agent shall (and is hereby authorised by the Issuer to) apply (or direct or cause application of) each amount paid to it hereunder an Account in accordance with Clause 7 (Payments to Noteholders ) (and shall, until such time, hold such amounts as agent for the Issuer) 8 and shall not be obliged to repay to the Issuer any such amount unless the claim for the relevant payment becomes void under the prescription provision in the Condition 10 (Prescription)5, in which event it it, subject to Clause 8 of the Principal Trust Deed, shall refund at the written request of to the Issuer or pursuant to its order such portion of such amount as relates to such payment by paying the same by credit transfer in Sterling the Specified Currency to such account with such bank as the Issuer has by notice to the Principal Paying Agent specified specifies for the purpose.
