Application Deadline and Proof of Timely Submission. ‌ All applications must be received by June 17, 2020, 11:59 PM Eastern time, as detailed here. Proof of timely submission is automatically recorded by Xxxxxx.xxx. An electronic date/time stamp is generated within the system when the application is successfully received by Xxxxxx.xxx. The applicant AOR will receive an acknowledgement of receipt and a tracking number (GRANTXXXXXXXX) from Xxxxxx.xxx with the successful transmission of their application. Applicant AORs will also receive the official date/time stamp and Xxxxxx.xxx Tracking number in an email serving as proof of their timely submission. When FNS successfully retrieves the application from Xxxxxx.xxx and acknowledges the download of submissions, Xxxxxx.xxx will provide an electronic acknowledgment of receipt of the application to the email address of the applicant with the AOR role. Again, proof of timely submission shall be the official date and time that Xxxxxx.xxx receives your application. Applications received by Xxxxxx.xxx after the established due date for the program will be considered late and will not be considered for FNS funding. Applicants using slow internet, such as dial-up connections, should be aware that transmission could take some time before Xxxxxx.xxx receives your application. Again, Xxxxxx.xxx will provide either an error or a successfully received transmission in the form of an email sent to the applicant with the AOR role. The Xxxxxx.xxx Support Center reports that some applicants end the transmission because they think that nothing is occurring during the transmission process. Please be patient and give the system time to process the application. Venue, Jurisdiction and Service of Process Any Proceeding arising out of or relating to this procurement process or any contract issued by TIPS resulting from or any contemplated transaction shall be brought in a court of competent jurisdiction in Camp County, Texas and each of the parties irrevocably submits to the exclusive jurisdiction of said court in any such proceeding, waives any objection it may now or hereafter have to venue or to convenience of forum, agrees that all claims in respect of the Proceeding shall be heard and determined only in any such court, and agrees not to bring any proceeding arising out of or relating to this procurement process or any contract resulting from or any contemplated transaction in any other court. The parties agree that either or both of them may file a copy of this paragraph with any court as written evidence of the knowing, voluntary and freely bargained for agreement between the parties irrevocably to waive any objections to venue or to convenience of forum. Process in any Proceeding referred to in the first sentence of this Section may be served on any party anywhere in the world. Venue for any dispute resolution process, other than litigation, between TIPS and the Vendor shall be located in Camp or Xxxxx County, Texas.

  • Termination This Agreement may be terminated at any time prior to the Closing:

  • IN WITNESS WHEREOF the parties hereto have executed this Agreement as of the day and year first above written.

  • Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of New York.

  • Waiver The waiver by any party hereto of a breach of any provision of this Agreement shall not operate or be construed as a waiver of any other or subsequent breach.

  • Severability Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.
