Application for Rating Sample Clauses

Application for Rating. The Issuer may at any time, or the Majority Noteholders may at any time after the expiration of the Acquisition Period, request that the Notes be rated by two or more Rating Agencies. At any such time, each Note Purchaser agrees to cooperate with all reasonable requests of the Issuer in obtaining ratings of BBB or Baa2 (or higher), including the amendment of the Basic Documents, provided that such amendments do not materially and adversely affect its rights thereunder. Expenses related to or arising out of the application by the Issuer for a rating shall be borne by the requesting party, and the requesting party shall reimburse each Note Purchaser upon demand for all reasonable costs and expenses incurred by such Note Purchaser in connection with its cooperation.

  • Notice to Rating Agencies The Trustee shall use its best efforts promptly to provide notice to the Rating Agencies with respect to each of the following of which it has actual knowledge:

  • Annual Rating Review (a) So long as any of the Secured Notes of any Class remains Outstanding, on or before March 26th in each year commencing in 2021, the Issuer shall obtain and pay for an annual review of the rating of each such Class of Secured Notes from the Rating Agency, as applicable. The Issuer shall promptly notify the Trustee and the Collateral Manager in writing (and the Trustee shall promptly provide the Holders with a copy of such notice) if at any time the Issuer is notified or has actual knowledge that the then-current rating of any such Class of Secured Notes has been, or is known will be, changed or withdrawn.

  • Debt Rating The Liquidity Provider has a short-term debt ratings of “P-1” from Xxxxx’x and “F1+” from Fitch.

  • Maintenance of Rating Since the execution of this Agreement, there shall not have been any decrease in or withdrawal of the rating of any securities of the Company or any of its subsidiaries by any “nationally recognized statistical rating organization” (as defined for purposes of Rule 436(g) under the 0000 Xxx) or any notice given of any intended or potential decrease in or withdrawal of any such rating or of a possible change in any such rating that does not indicate the direction of the possible change.

  • Required Ratings The Offered Certificates shall have received Required Ratings of at least [ ] from [ ].

  • Credit Rating The credit facilities provided for under this Agreement shall have been assigned a credit rating by S&P and Xxxxx’x.

  • Maintenance of Ratings The Borrower shall use commercially reasonable efforts to maintain a public corporate rating from S&P and a public corporate family rating from Xxxxx’x, in each case in respect of the Borrower, and a public rating of the Facilities by each of S&P and Xxxxx’x.

  • Issuance of Ratings The Note Insurer shall have received confirmation that the risk secured by the Note Insurance Policy constitutes an investment-grade risk, that the Class A-1 Notes when issued will be rated “A-1+” by S&P, “Prime 1” by Xxxxx’x and “F1+” by Fitch and that the Class A-2 Notes, Class A-3 Notes, and Class A-4 Notes, when issued, will be rated “AAA” by S&P, “Aaa” by Xxxxx’x and “AAA” by Fitch.

  • Special Notices to Rating Agencies (a) The Trustee shall give prompt notice to each Rating Agency of the occurrence of any of the following events of which it has notice:

  • Cooperation with Rating Agencies If the ratings provided with respect to the Publicly Registered Notes by the rating agency or agencies that initially rate the Publicly Registered Notes are conditional upon the furnishing of documents or the taking of any other actions by the Depositor, to furnish such documents and take any such other actions.
