Common use of Application of Sale Provisions Clause in Contracts

Application of Sale Provisions. (a) Except as may otherwise be expressly provided in this Agreement, the provisions of this Article shall apply to any sale of Shares between Shareholders, any sale of Shares by a Shareholder to a third party pursuant to Article 12 or, to the extent applicable, between Shareholders and the Corporation pursuant to the other provisions of this Agreement. (b) For the purpose of this Article, the terms “Vendor”, “Purchaser”, “Date of Closing”, “Time of Closing”, “Purchase Price” and “Purchased Shares” with respect to any Sale Transaction shall have the meanings specified in Articles 11, 12, 13 and 14, as the case may be.
