Appointment of and Acceptance by the Escrow Agent. Buyer and Seller hereby appoint the Escrow Agent to serve as escrow agent hereunder. The Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer of the Deposited Funds in accordance with Section 3 below, agrees to hold, invest, and disburse the Escrow Funds in accordance with this Escrow Agreement.
Appointment of and Acceptance by the Escrow Agent. The Seller, Price and the Buyers hereby appoint the Escrow Agent to serve as Escrow Agent hereunder. The Escrow Agent hereby accepts such appointment and, upon receipt of the Collateral, agrees to hold and distribute the Collateral in accordance with this Agreement.

The Escrow Agent hereby accepts such appointment and, upon receipt of the Purchased Shares and the Purchase Price, agrees to hold and distribute the Purchased Shares and the Purchase Price in accordance with this Agreement.
Appointment of and Acceptance by the Escrow Agent. The Company, Parent and Merger Sub hereby appoint the Escrow Agent to serve as their escrow agent for the purposes set forth herein. The Escrow Agent hereby accepts such appointment under the terms and conditions set forth herein. The Escrow Agent, upon receipt of the Escrow Funds on the date hereof in accordance with the foregoing recitals, agrees to hold, invest and disburse the Escrow Funds (as defined below) solely in accordance with the terms and conditions of this Deposit Escrow Agreement. The Escrow Agent shall acknowledge receipt of the Deposit upon actual receipt thereof by notifying the other parties to this Deposit Escrow Agreement by email.
Appointment of and Acceptance by the Escrow Agent. Parent and the Securityholder Representative hereby appoint the Escrow Agent to serve as escrow agent pursuant to this Escrow Agreement. The Escrow Agent hereby accepts such appointment and, upon receipt of the Escrow Fund in accordance with Section 3(a) of this Escrow Agreement, agrees to hold, invest and disburse the Escrow Fund in accordance with this Escrow Agreement.
Appointment of and Acceptance by the Escrow Agent. Depositor hereby appoints the Escrow Agent to serve as escrow agent hereunder. The Escrow Agent xxxxxx accepts such appointment and, upon receipt of Xxxxxx Shares agrees to hold and disburse Escrow Shares in accordance with this Agreement.
Appointment of and Acceptance by the Escrow Agent. Purchaser, Corporation, Rafaella and Xxxxxxx hereby appoint the Escrow Agent to serve as the escrow agent hereunder. The Escrow Agent hereby accepts such appointment and agrees to hold, invest and disburse the Escrow Funds transferred to it in accordance with this Escrow Agreement.

The Escrow Agent hereby accepts such appointment and, upon receipt by wire transfer of the Escrow Amount in accordance with Section 3, agrees to hold, invest and disburse the Escrow Amount upon receipt thereof in accordance with this Escrow Agreement.
