APPOINTMENT OF PROCESS AGENTS. 18.22.1 Each of the Purchasers which is not incorporated in England irrevocably appoints XL Brockbank Limited of Fitzwilliam House, 10 St. Mary Axe, Xxxxxx XX3A 8NL as itx xxxxx xxx xxx xxxxxxx xx xxxxxxx xx Xxxxxxx in relation to any matter arising out of this Agreement, service upon whom shall be deemed completed whether or not forwarded to or received by any Purchaser.
18.22.2 Each of the Purchasers shall inform Winterthur in writing of any change in the address of its process agents within 28 days.
18.22.3 If such process agents cease to have an address in England each of the relevant Sellers irrevocably agrees to appoint new process agents acceptable to Winterthur and to deliver to Winterthur within 14 days a copy of a written acceptance of appointment by its new process agents.
18.22.4 Winterthur shall procure that each of the Purchasers which is not incorporated in England shall irrevocably appoint Churchill Insurance Group Plc of Churchill Court, Westmorxxxxx Xxxd, Bromley, Kent BR1 1DP xx xxx xxxxx xxx xxx xxxxxxx xx proxxxx xx Xxxxxnd in relation to any matter arising out of this Agreement, service upon whom shall be deemed completed whether or not forwarded to or received by any Purchaser.
18.22.5 Each of the Sellers shall inform XL Insurance in writing of any change in the address of its process agents within 28 days.
18.22.6 If such process agents cease to have an address in England, each of the relevant Sellers irrevocably agrees to appoint new process agents acceptable to XL Insurance and to deliver to XL Insurance within 14 days a copy of a written acceptance of appointment by its new process agents.
18.22.7 Nothing contained in this Agreement shall affect the right to serve process in any other manner permitted by law or the right to bring proceedings in any other jurisdiction for the purpose of the enforcement or execution of any judgment or other settlement in any other courts.
APPOINTMENT OF PROCESS AGENTS. 21.18.1 The Purchaser irrevocably appoints Norose Notices Limited at Kempxxx Xxxxx, Xxxxxxxx Xxxxxx, Xxxxxx XX0X 0XX xx its agent for the service of process in England in relation to any matter arising out of this Agreement, service upon whom shall be deemed completed whether or not forwarded to or received by the Purchaser.
21.18.2 The Purchaser shall inform the Vendor, in writing, of any change in the address of its process agent within 28 days of such change.
21.18.3 If such process agents cease to have an address in England, the Purchaser irrevocably agrees to appoint new process agents acceptable to the Vendor and to deliver to the Vendor within 14 days a copy of a written acceptance of appointment by its new process agents.
21.18.4 Nothing contained in this Agreement shall affect the right to serve process in any other manner permitted by law or the right to bring proceedings in any other jurisdiction for the purposes of the enforcement or execution of any judgment or other settlement in any other courts.
APPOINTMENT OF PROCESS AGENTS. Each of SF SPV and SF Holding appoints SF Holding Limited of 9/F, Asia Logistics Hub-SF Centre, 36 Tsing Yi Xxxx Xxx Road, Xxxxx Xx, N.T., Hong Kong as its agent for the service of process in Hong Kong in relation to any matter arising out of this Agreement, service upon whom shall be deemed completed whether or not forwarded to or received by that Party. Nothing in this Agreement shall affect the right to serve process in any other manner permitted by law or the right to bring proceedings in any other jurisdiction for the purposes of the enforcement or execution of any judgment or other settlement in any other courts.
APPOINTMENT OF PROCESS AGENTS. There having been delivered on or prior to the Closing Date copies of each letter of appointment in respect of a process agent to accept service of process in England in relation to each of the Chargors (other than the English Chargors) and the Issuer signed by an Authorised Signatory of the Chargors (other than the English Chargors) and the Issuer respectively, and accepted by the relevant process agent;

US Parent irrevocably appoints UK Parent as its agent for the service of process in England in relation to any matter arising out of this Agreement, service upon whom shall be deemed completed whether or not forwarded to or received by US Parent. US Parent shall inform the other parties hereto, in writing, of any change in the address of its process agent within 28 days. If such process agent ceases to have an address in England, US Parent irrevocably agrees to appoint a new process agent with an address in England and to deliver to the other parties hereto within 14 days a copy of written acceptance of appointment by its new process agent. Nothing contained in this Agreement shall affect the right to serve process in any other manner permitted by law or the right to bring proceedings in any other jurisdiction for the purposes of the enforcement or execution of any judgment or other settlement in any other courts.
APPOINTMENT OF PROCESS AGENTS. 16.1 Each Seller and the Buyer Guarantor shall ensure that there is at all times appointed an agent for service of process on it in England in relation to any matter arising out of this agreement or any of the other Transaction Documents, service upon whom shall be deemed completed whether or not forwarded to or received by that party and the appointing party shall notify the other parties hereto of the name of such agent and their contact details.
16.2 Each Seller and the Buyer Guarantor may from time to time appoint a new process agent acceptable to each of the other parties (acting reasonably) to receive service of process in England pursuant to clause 16.1. Each party shall give notice to the other parties in writing of any change in the address of its process agent within 28 days of such change.
16.3 If any process agent appointed pursuant to this clause 16 ceases to have an address in England, the party appointing such agent irrevocably agrees to appoint a new process agent acceptable to the other parties (acting reasonably) and to deliver to the other parties within 14 days a copy of a written acceptance of appointment by its new process agent.

APPOINTMENT OF PROCESS AGENTS. 19.21.1 The Vendors' Guarantor irrevocably appoints CT Corporation as its agent for the service of process in New York in relation to any matter arising out of this Agreement, and the Tax Deed of Covenant service upon whom shall be deemed completed whether or not forwarded to or received by the Vendors' Guarantor.
19.21.2 The Vendors' Guarantor shall inform the Purchasers, in writing, of any change in the address of its process agent within 28 days of such change.
19.21.3 If such process agent ceases to have an address in New York, the Vendors' Guarantor irrevocably agrees to appoint a new process agent acceptable to the Purchasers and to deliver to the Purchasers within 14 days a copy of a written acceptance of appointment by its new process agent.
19.21.4 Nothing contained in this Agreement shall affect the right to serve process in any other manner permitted by law or the right to bring proceedings in any other jurisdiction for the purposes of the enforcement or execution of any Judgment or other settlement in any other courts. 62 66

The Guarantor hereby irrevocably appoints Edison Mission Energy Limited of Lansdowne House, Berkeley Square, London W1J 6ER as xxx xxxxxx xxx xxx xxxxxxx xx xxxxxxx xx - 190 - England in relation to any matter arising out of this Deed, service upon whom shall be deemed completed whether or not forwarded to, or received by, the Guarantor.
APPOINTMENT OF PROCESS AGENTS. 4.1.1 The Guarantor hereby irrevocably appoints Edison Mission Energy Limited of Xxxxxxxxx Xxxxx, Xxxxxxxx Xxxxxx, Xxxxxx X0X 0XX as its agents for the service of process in - 176 - England in relation to any matter arising out of this Deed, service upon whom shall be deemed completed whether or not forwarded to, or received by, the Guarantor.
4.1.2 The Guarantor shall inform the Purchasers, in writing, of any change in the address of its process agents within five Business Days of the Guarantor becoming aware of such change. Nothing contained in this Deed shall affect the right to serve process in any other manner permitted by law or the right to bring proceedings in any other jurisdiction for the purposes of the enforcement or execution of any judgement or other settlement in any other courts.
