Appointing Party definition

Appointing Party will have the meaning given in Section 4.2 herein.

Appointing Party has the meaning set forth in Clause 7.1.

Appointing Party means the non-breaching Party under Section 11.6 or the Terminating Party under Section 15.5.

Examples of Appointing Party in a sentence

• The Appointing Party will pay all costs of the escrow arrangements.

• The Company further agrees that no advancement or payment by the Appointing Party or its (or the Indemnitee's) insurer on behalf of an Indemnitee with respect to any claim for which Indemnitee has sought indemnification from the Company shall affect the foregoing and the Appointing Party or its (or the Indemnitee's) insurer shall have a right of contribution and/or be subrogated to the extent of such advancement or payment to all of the rights of recovery of Indemnitee against the Company.

• The Company further agrees that no advancement or payment by the Appointing Party or its (or the Indemnitee’s) insurer on behalf of an Indemnitee with respect to any claim for which Indemnitee has sought indemnification from the Company shall affect the foregoing and the Appointing Party or its (or the Indemnitee’s) insurer shall have a right of contribution and/or be subrogated to the extent of such advancement or payment to all of the rights of recovery of Indemnitee against the Company.
