Appointment of Settlement Administrator. The Settlement Administrator shall be responsible for: (1) preparing, printing, and mailing the Notice Packet to the Class Members; (2) keeping track of any objections or requests for exclusion from Class Members; (3) performing skip traces and remailing Notice Packets and payments to Class Members under the Settlement; (4) calculating any and all payroll tax deductions as required by law; (5) calculating each Participating Class Member’s Individual Settlement Share; (6) calculating each Class Member’s portion of the PAGA Payment; (7) providing weekly status reports to the Parties’ counsel, which is to include updates on any objections or requests for exclusion that have been received; (8) providing a due diligence declaration for submission to the Court prior to the Final Approval hearing; (9) mailing Individual Settlement Shares to Participating Class Members; (10) mailing portions of the PAGA Payment to Class Members; (11) mailing the portion of the PAGA Payment to the LWDA; (12) distributing the Attorney Fee Award and Cost Award to Class Counsel; (13) distributing the Administration Costs to Settlement Administrator; (14) distributing the Class Representative Enhancement Payments to the Class Representatives; (15) printing and providing Participating Class Members, Class Members, and Plaintiffs with W- 2s and 1099 forms as required under this Agreement and applicable law; (16) providing a due diligence declaration for submission to the Court upon the completion of the Settlement; (17) providing any funds remaining in the QSF as a result of uncashed checks to the California State Controller’s Unclaimed Property Division in accordance with California Unclaimed Property Law, including the administration of related tax reimbursements; and (18) performing other tasks as the Parties mutually agree. The Parties each represent that they do not have any financial interest in Phoenix or otherwise have a relationship with Xxxxxxx that could create a conflict of interest.

Appointment of Settlement Administrator. The Settlement Administrator shall be responsible for: (1a) preparing, translating into Spanish, printing, and mailing the Notice Packet to the Class Members; (2b) creating a static settlement website that will go live on the same date the Notice Packet is first mailed to the Class Members and that will include, among other things, the Complaints, standalone generic copies of the Notice and Exclusion Form, all papers filed in connection with the Preliminary Approval Hearing (including all orders filed by the Court), all papers filed in connection with the Final Approval Hearing (including the fee motion and final approval motion), and, if the Settlement is approved, the Final Approval Order and Judgment; (c) keeping track of any objections to the Settlement or requests for exclusion Exclusion Forms from Class Members; (3d) performing skip traces and remailing Notice Packets Packets, Individual Settlement Shares, and payments Individual PAGA Payments to Class Members under the Settlementand PAGA Members, as applicable; (4e) calculating any and all payroll tax deductions as required by law; (5f) calculating each Participating Class Member’s 's Individual Settlement ShareShare and each Individual PAGA Member's Individual PAGA Payment in accordance with this Agreement; (6) calculating each Class Member’s portion of the PAGA Payment; (7) providing weekly status reports to the Parties’ counsel, which is to include updates on any objections or requests for exclusion that have been received; (8) providing a due diligence declaration for submission to the Court prior to the Final Approval hearing; (9g) mailing Individual Settlement Shares to Participating Class Members and Individual PAGA Payments to PAGA Members; (10h) mailing portions of resolving any disputes regarding the Workweeks credited to each Class Member or PAGA Payment to Class MembersMember; (11i) mailing remitting the LWDA's portion of the PAGA Payment to the LWDA; (12j) distributing the Attorney Fee Award and the Cost Award to Class Counsel; (13) distributing the Administration Costs to Settlement Administrator; (14) distributing the Class Representative Enhancement Payments to the Class Representatives; (15k) printing and providing Participating Class Members, Class PAGA Members, and Plaintiffs Plaintiff with W- 2s IRS Forms W-2 and 1099 forms as required under this Agreement and applicable law; (16l) providing a due diligence declaration for submission to the Court upon the completion of the SettlementSettlement and prior to the Final Approval Hearing, providing, among other things, the number of Notice Packets it mailed to Class members, the number of Notice Packets it re-mailed, the number of Notice Packets that were ultimately undeliverable, the number of Exclusion Forms and objections that it received, the number of defective Exclusion Forms and objections it received, the total of its charges for services rendered, and the anticipated future charges contemplated in order to bring the administration of the Settlement and distribution of payments to completion; (17m) providing distributing over any funds remaining in the QSF Qualified Settlement Fund at the close of the 180-day period as a result of uncashed checks to the California State Controller’s Unclaimed Property Division 's Office in accordance with California California's Unclaimed Property Law, including the administration of related tax reimbursements; and (18n) performing other tasks as the Parties mutually agree; and (o) providing weekly status reports to Counsel for Defendant and Class Counsel, which are to include updates on any objections or Exclusion Forms that have been received. The Settlement Administrator shall regularly report to the Parties, in written form, the substance of the work performed. The Parties each represent that they do not have any financial interest in Phoenix the Settlement Administrator or otherwise have a relationship with Xxxxxxx the Settlement Administrator that could create a conflict of interest. Any disputes relating to the Settlement Administrator's ability and need to perform its duties shall be referred to the Court.
