Appointment of the Agent. (a) Each other Finance Party appoints the Agent to act as its agent under and in connection with the Finance Documents. (b) Each other Finance Party authorises the Agent to exercise the rights, powers, authorities and discretions specifically given to the Agent under or in connection with the Finance Documents together with any other incidental rights, powers, authorities and discretions.

(a) 20.1.1 Each other Finance Party appoints the Agent to act as its agent under and in connection with this Agreement and the Finance Documentsother Security Documents and the Coface Insurance Policy. (b) 20.1.2 Each other Finance Party authorises the Agent to exercise the rights, powers, authorities and discretions specifically given to the Agent under or in connection with the Finance Security Documents together with any other incidental rights, powers, authorities and discretions.

(a) Each other Finance Creditor Party appoints the Agent to act as its agent under and in connection with this Agreement and the other Finance DocumentsDocuments and the SACE Insurance Policy. (b) Each other Finance Creditor Party authorises the Agent to exercise the rights, powers, authorities and discretions specifically given to the Agent under or in connection with the Finance Documents together with any other incidental rights, powers, authorities and discretions.

(b) Each such other Finance Party authorises the Agent Agent: (i) to perform the duties, obligations and responsibilities and to exercise the rights, powers, authorities and discretions specifically given to the Agent under or in connection with the Finance Documents together with any other incidental rights, powers, authorities and discretions; and (ii) to execute each of the Security Documents and all other documents that may be approved by the Required Lenders for execution by it.

(b) 30.1.2 Each such other Finance Party authorises the Agent Agent: (a) to exercise the rights, powers, authorities and discretions specifically given to the Agent under or in connection with the Finance Documents together with any other incidental rights, powers, authorities and discretions; and (b) to execute each of the Security Documents and all other documents that may be approved by the Majority Lenders for execution by it.

(b) Each other Finance Party authorises the Agent to exercise the rights, powers, authorities and discretions specifically given to the Agent under or in connection with the Finance Documents together with any other incidental rights, powers, authorities and discretions.

(b) 30.2.2 Each other Finance Party authorises the Agent to exercise the rights, powers, authorities and discretions specifically given to the Agent under or in connection with the Finance Documents together with any other incidental rights, powers, authorities and discretions.

The Agent is hereby granted exemption from the restriction of section 181 of the Civil Code, as far as legally possible, and from any similar restriction of the applicable laws of any other jurisdiction. (b) Each other Finance Party authorises the Agent to exercise the rights, powers, authorities and discretions specifically given to the Agent under or in connection with the Finance Documents together with any other incidental rights, powers, authorities and discretions.

(b) Each other Finance Party and each Hedging Bank authorises the Agent to perform the duties, obligations and responsibilities and to exercise the rights, powers, authorities and discretions specifically given to the Agent under or in connection with the Finance Documents together with any other incidental rights, powers, authorities and discretions.
