Common use of Appointment of the Security Agent Clause in Contracts

Appointment of the Security Agent. (a) Each Secured Party irrevocably appoints the Security Agent to act as its agent under and in connection with the security created under the Transaction Security Documents. (b) Each Secured Party irrevocably authorises the Security Agent to: (i) perform the duties and to exercise the rights, powers, authorities and discretions that are specifically given to it under or in connection with the Transaction Security Documents, together with any other incidental rights, powers, authorities and discretions; and (ii) enter into and deliver each Transaction Security Document expressed to be entered into by the Security Agent.
