Approval by Xxxxxxxx-Xxxxx Board of Directors. This Agreement and the transactions contemplated hereby, including the declaration of the Distribution, shall have been duly approved by the Board of Directors of Xxxxxxxx-Xxxxx in accordance with applicable law and the Restated Certificate of Incorporation, as amended, and By-Laws of Xxxxxxxx-Xxxxx.
