Approval of Buyer's Counsel. All actions, proceedings, --------------------------- instruments and documents required to carry out this Agreement and the transactions contemplated hereby and all related legal matters contemplated by this Agreement shall have been approved by Xxxxxxx, Procter & Xxxx LLP, as counsel for Buyer, and such counsel shall have received on behalf of Buyer such other certificates, opinions and documents in form satisfactory to such counsel, as Buyer may reasonably require from the Companies and the Stockholders to evidence compliance with the terms and conditions hereof as of the Closing and the correctness as of the Closing of the representations and warranties of the Companies and the Stockholders and the fulfillment of their respective covenants.
Approval of Buyer's Counsel. All actions, proceedings, instruments and documents required to carry out this Agreement and the transactions contemplated hereby and all related legal matters contemplated by this Agreement shall have been approved by Goodxxx, Xxocter & Hoar XXX as counsel for Buyer, and such counsel shall have received on behalf of Buyer such other certificates, opinions, and documents in form satisfactory to such counsel, as Buyer may reasonably require from Seller and the Stockholder to evidence compliance with the terms and conditions hereof as of the Closing and the correctness as of the Closing of the representations and warranties of the Stockholder and Seller and the fulfillment of their respective covenants.

All actions, proceedings, instruments and documents required to carry out this Agreement and all related legal matters contemplated by this Agreement, including, without limitation, opinions of counsel, shall have been approved by counsel for the Buyer, provided that the approval of such counsel shall not be unreasonably withheld.

All actions, proceedings, instruments and documents required to carry out this Agreement and the transactions contemplated hereby, and all related legal matters contemplated by this Agreement shall have been approved by as counsel for Buyer, and such counsel shall have received on behalf of Buyer such other certificates, opinions, and documents in form satisfactory to such counsel, as Buyer may reasonably require from Seller and the Stockholders to evidence compliance with the terms and conditions hereof as of the Closing, and the correctness as of the Closing of the representations and warranties of the Stockholders and Seller and the fulfillment of their respective covenants.33 32These provisions are to be used if there is material owned real property or leased real property included in the subject assets. Depending on the materiality of the properties, the buyer should consider obtaining surveys. When in doubt, consult with a member of the real estate department. 33Including this provision as a condition of closing makes it likely that the seller will insist that a similar clause be included as a condition to its obligations. See Section 6.02(b).

Approval of Buyer's Counsel. All actions, proceedings, instruments and documents required to carry out this Agreement and the contemplated transactions and all related legal matters contemplated in this Agreement shall be reasonably satisfactory in form and substance to counsel for Buyer and that counsel shall have received on behalf of Buyer all other certificates, opinions, and documents in form satisfactory to counsel, as Buyer may reasonably require from the DHG Entities and the Stockholders to evidence compliance with the terms and conditions of this Agreement as of the Closing and the correctness as of the Closing of the representations and warranties of the Stockholders and the DHG Entities and the fulfillment of their respective covenants.
