Opinions of Counsel definition

Opinions of Counsel means the favorable written legal opinions of Xxxxxx & Xxxxxxx LLP and Xxxxxxx LLP, counsel to Borrower and Guarantor, in form and substance reasonably satisfactory to the Administrative Agent.
Opinions of Counsel means the favorable written legal opinion of (a) Mungxx, Xxllxx & Xlsox XXX, special counsel to Borrower, and (b) Bartxx X. Xxxxxxx, Xxneral Counsel of Borrower, substantially in the form of Exhibit C-1 and C-2, respectively, together with copies of all factual certificates and legal opinions upon which such counsel has relied.
Opinions of Counsel has a meaning correlative to the foregoing.

  • In addition, any Affiliate of the Company that is a beneficial owner of all or part of a Global Note may have such Affiliate’s beneficial interest transferred to such Affiliate in the form of a Definitive Note, by providing a written request to the Company and the Trustee and such Opinions of Counsel, certificates or other information as may be required by the Indenture or the Company or the Trustee.

More Definitions of Opinions of Counsel

Opinions of Counsel means (a) the favorable written legal opinion of Parent's general counsel, and (b) the favorable written legal opinion of Xxxxxx & Xxxxxxx, special counsel to Parent and the Borrowers, substantially in the form of Exhibit G, together with copies of all factual certificates and legal opinions upon which such counsel have relied.
Opinions of Counsel means the favorable written legal opinions issued to the Administrative Agent and the Lenders on the Closing Date of (a) Milbank, Tweed, Hadley & McCloy LLP, special counsel to Borrower, and (b) Schxxxx Xrigxxxx, special Nevada counsel to Borrower, together xxxx copies of all factual certificates delivered to such counsel in connection with their opinions.
Opinions of Counsel means written opinions substantially in the forms set forth in Exhibits I-1 and I-2 to the Recapitalization Agreement.

(Xxxx) Richelieu, Vice President of Borrower, (c) Xxxxxxx Xxxxx LLP, Arizona counsel to KB HOME Phoenix Inc. and KB HOME Tucson Inc., (d) Xxxxxxx Xxxxx & Xxxxxxx, Nevada counsel to KB HOME Las Vegas Inc., KB HOME Nevada Inc. and KB HOME Reno Inc., (e) Graves, Dougherty, Xxxxxx & Xxxxx, Texas counsel to KB HOME Lone Star Inc. and KBSA, Inc., and (f) Fox Rothschild LLP, Colorado counsel to KB Home Colorado Inc., substantially in the form of Exhibits X-0, X-0, X-0, X-0, F-5 and F-6, respectively, together with copies of all factual certificates and legal opinions upon which such counsel has relied.
Opinions of Counsel means the favorable written legal opinions of (a) Xxxxxx & Xxxxxxx LLP, special counsel to the Borrower and (b) Xxxxxx Xxxxxxxx, General Counsel to the Loan Parties (with respect to matters of Florida law), substantially in the form of Exhibits F-1 and F-2, respectively.
