APPROVAL OF COUNSEL TO RECYCLING. All actions and proceedings hereunder and all documents or other papers required to be delivered by Seller hereunder or in connection with the completion of the Transaction, and all other related matters shall have been approved by Friedlob Xxxxxxxxx Xxxxxx Xxxxxxx & Xxxxxxxxxxx, LLC, counsel to Recycling, as to their form, which approval shall not be unreasonably withheld or delayed.
