Approval of Counsel to the Purchaser. All actions and proceedings hereunder and all documents required to be delivered by the Company hereunder or in connection with the consummation of the other transactions contemplated hereby, and all other related matters, shall have been reasonably acceptable to Xxxx, Weiss, Rifkind, Xxxxxxx & Xxxxxxxx, special counsel to the Purchasers, as to their form and substance.
