ARC’s and Buyer’s Representations and Warranties. ARC and Buyer jointly and severally represent and warrant to each Seller that the statements contained in this Section 3(b) are correct and complete as of the date of this Agreement and will be correct and complete as of the Closing Date (as though made then and as though the Closing Date were substituted for the date of this Agreement throughout this Section 3(b)), except as set forth in Section 3(b) of the Disclosure Letter. A disclosure made by ARC or Buyer in any particular section of this Agreement or any section of the Disclosure Letter that is set forth in sufficient detail such that a reasonable person otherwise would recognize that the exceptions or qualifications apply to the substance of a specific representation or warranty shall be deemed, for purposes of this Agreement, to have been made with respect to such other section of this Agreement or such other section of the Disclosure Letter.
