Seller’s Representations and Warranties shall be true and accurate on the Effective Date and on the Closing Date.
ARTICLE 13 REPRESENTATIONS AND WARRANTIES; AUTHORITY 13.1 Seller’s Representations and Warranties.
The right to obtain an indemnification for any Damages from the Seller shall only arise if the Purchaser has served to the Seller a Claim Notice or a Notice of Third-Party Claim no later than one (1) month from the end of the statutory limitation with regards to any Inaccuracy of the Seller’s Representations and Warranties set forth in Schedule 7.1 or to any Seller’s Breach.
Each of the Seller’s Representations and Warranties shall have been true, correct, and complete in all material respects when made and as though made on the Closing Date.
If any of the foregoing Seller’s Representations and Warranties are determined not to be true in all material respects on and as of the Closing Date, Buyer may at its option and by written notice to Seller, either: (i) terminate this Agreement, and upon said termination, Seller (or Escrow Agent) shall promptly refund to Buyer all monies paid to Seller hereunder; or (ii) waive the warranty or representation and close the sale and purchase hereof.
