ASSET SALE AND PURCHASE OF ASSETS. Subject to the terms and conditions hereof and in reliance upon the representations, warranties and agreements contained herein, at the Closing, Seller shall sell, assign, transfer, convey and deliver to Buyer, and Buyer shall purchase, acquire, pay for and accept from Seller at the Closing, all of Seller's right, title and interest in, to and under the Station and all of Seller's rights in respect of the LMA Station and the Option, and all real, personal and mixed assets, rights, benefits and privileges, both tangible and intangible, owned, leased, used, or held for use by Seller in connection with the Business (collectively, the "Assets"); but excluding the Excluded Assets described in Section 2.
