Assignment and Power of Attorney. Each Participating Member shall deliver to NxOpinion an assignment of the Member’s Redeemed Units and limited power of attorney substantially in the form of Exhibit B (the “Assignment and Power of Attorney”), which shall be sufficient to transfer the same, shall otherwise be in a final form reasonably satisfactory to both the Member and NxOpinion.

For purposes of affecting the exchange of the Series 14 Preferred, Series 15 Preferred and the Series 16 Preferred in accordance with the terms of this Agreement, at the Closing the Subscriber does hereby assign all of its right, title and interest in and to the Series 14 Preferred, Series 15 Preferred and the Series 16 Preferred to the Company and irrevocably makes, constitutes and appoints the Company as the true and lawful agents and attorneys-in-fact of the Subscriber ("Attorney-In-Fact") with full power and authority (except as provided below) to act hereunder individually, or through duly appointed successor attorneys-in-fact, in its sole discretion, all as hereinafter provided, in the name of, for and on behalf of the Subscriber, as fully as could the Subscriber if present and acting in person, with respect to all matters in connection with the transfer of the Series 14 Preferred, Series 15 Preferred and the Series 16 Preferred.
Assignment and Power of Attorney. All Dated 08th Day Of October, 2002 entered into between the Assignors/Borrowers and the Assignee/Lender, it is hereby proclaimed that the Assignee/Lender with the assistance of the undermentioned Auctioneer:- ON MONDAY, THE 26TH DAY OF JUNE, 2023 AT2.30P.M.INTHE AFTERNOON, Alternatively, prospective bidders may submit bids for the property online via xxx.xxxxxxxxxxxxxxxx.xxx
Assignment and Power of Attorney. 1.1 The Principal hereby instructs xxxxxxx.xx, which xxxxxxx.xx hereby accepts, to deliver the Marketplace services.
1.2 The Principal hereby grants xxxxxxx.xx the assignment, which assignment xxxxxxx.xx xxxxxx accepts, to provide the following services on a long-term basis, in the name and for the risk and account of the Principal in xxxxxxx.xx’s capacity as commercial agent:
a. on behalf of the Principal, (commissioning) the processing of order payments via xxxxxxx.xx’s online platform, where xxxxxxx.xx – or a third party engaged by it – collects the sales price of the purchase and administrates the payment, on the Principal behalf, and then pays out the sale proceeds to the Principal;
b. any other tasks that are necessary and conducive to and related to the aforementioned services. With respect to the performance of this assignment, xxxxxxx.xx acts solely for the Principals account.
1.3 The Principal hereby grants xxxxxxx.xx or the Foundation a power of attorney for the duration of the Agreement, with due observance of the provisions of the Agreement, to perform all (legal) acts in the Principals name which are deemed necessary or required, in xxxxxxx.xx’s opinion, to perform the assignment properly (as described in the first paragraph of this article) in xxxxxxx.xx’s capacity as the Principals commercial agent.
1.4 Xxxxxxx.xx reserves the right to supplement, amend or replace the Terms of Use Marketplace unilaterally. Changes will also apply to agreements that were previously concluded. Xxxxxxx.xx will inform the Principal of such changes at least fourteen (14) days before such changes take effect, via electronic means.
