ASSIGNMENT AND SUB-CONTRACTING. The Authority may assign this Contract upon 30 days written notice to the Contractor. Provided, any assignee shall be obligated to provide written acceptance and commitment to be bound by all terms and conditions as set forth herein. Upon such assignment, the Authority shall be relieved from any further liability or obligation under this Contract, it being understood that the assignee shall have all of the Authority's rights, duties and obligations. In the event of such assignment, the term "Authority" as used herein shall mean the assignee. Contractor and shall not assign or subcontract this Contract, or any part thereof, without the prior written consent of the Authority which consent may be granted, denied or conditioned in the sole, unfettered discretion of the Authority.
