Assignment by Client. Client shall not, without the prior written consent of Betty Blocks, assign, transfer, charge, sub-contract or deal in any other manner with all or any of its rights or obligations under the Agreement.
Assignment by Client. All the terms, provisions, covenants and conditions of this Agreement (including any modifications thereto) shall be binding upon, inure to the benefit of, and be enforceable by CLIENT, its successors and assigns; provided however, that no portion of this Agreement (including any Work Order) and the rights and obligations thereunder shall be assignable or delegable by CLIENT, by operation of law or otherwise, without the express prior written consent of XXXXXXX XXXXX which consent shall not be unreasonably withheld.
Assignment by Client. Client shall not assign, novate or transfer, directly or indirectly, or by any power of attorney or otherwise the whole or any part of this Agreement or any of Client’s rights or obligations hereunder without first obtaining Consultant’s prior written consent, which consent shall not be unreasonably withheld, delayed or conditioned; provided, however, that Client shall have the right to freely assign, novate or transfer all or any portion of this Agreement and its rights, obligations and duties hereunder at any time and from time to time without prior notice to or consent of Consultant (1) to an Affiliate; (2) for purposes of providing collateral security in connection with any financing transaction, and (3) to a purchaser of the Project or any portion thereof or interest therein. Except with respect to assignments pursuant to clause (2) above, (1) Client shall cause any permitted assignee, novatee or transferee of Client’s interests in, to or under this Agreement to assume all applicable existing and future obligations of Client to be performed under this Agreement, and (2) upon any permitted assignment, novation or transfer of this Agreement, the assigning, novating or transferring Party shall be, without further action by either Party, released and discharged from all obligations under this Agreement arising after the effective date of such assignment, novation or transfer.
Assignment by Client. Client may assign this Agreement, in whole or in part, to any Affiliate or Third Party without the consent of WuXi Biologics. Client shall give written notice to WuXi Biologics promptly following any such assignment.
Assignment by Client. Client may assign or transfer its interest in this Agreement, sell or otherwise transfer the Marks to a third party, or engage in any merger, consolidation, sale of assets, reorganization, or other transaction, without consent of or notice to Chapter.
Assignment by Client. The Client cannot assign, whether in whole or part, or otherwise transfer the benefit of this Agreement, or any rights or obligations hereunder, without the prior written consent of Engagis (which may be withheld in its absolute discretion).
Assignment by Client. This Agreement shall inure to the benefit of and be binding upon the parties hereto and their respective personal representatives, guardian, heirs, assigns and successors. No assignment of Client's rights under this Agreement shall operate to defeat any of Agent's rights.
Assignment by Client. Client may assign or transfer its interest in this Agreement or engage in any merger, consolidation, sale of assets, reorganization, or other transaction, without consent of or notice to Chapter, other than as contemplated by Section 5.
Assignment by Client. Client may not assign its rights or obligations under this Agreement in whole or in part without the prior written consent of Manager, which consent may be withheld in Manager's sole and absolute discretion. Notwithstanding the foregoing, Client may dispose of any Hotel or Hotels or any interest in a Hotel or Hotels pursuant to a Hotel Disposition without the consent of Manager, in which event this Agreement shall terminate solely with respect to such Hotel or Hotels.
Assignment by Client. Client may not assign its rights or delegate its obligations under this License Agreement, in part or whole, without the prior written consent of AC, and any such attempted assignment or delegations shall be void; provided, however, that Client shall have the right to assign this License Agreement to any Affiliate of Client or to any person or entity that acquires substantially all of the assets of Client's Family division, without the consent of AC (and of any assignee of AC pursuant to Section 6 hereof) ("Assignee") upon giving AC (and any Assignee of whom AC shall have notified Client in accordance with Section 6 of this License Agreement) written notice of such assignment. Notwithstanding the foregoing, no such assignment shall relieve Client of its liability for the performance of its obligations under this License Agreement.
