Assignment by the Supplier. (a) The Supplier must not assign, novate, mortgage or charge all or any part of its rights or obligations under or in accordance with the Agreement without the Company’s prior written consent, which the Company may, in its absolute discretion, refuse to give.
(b) No assignment or novation shall be effective until the assignee has agreed in writing with the Company to perform the Supplier’s obligations under this Agreement.
Assignment by the Supplier. The Supplier may only assign its rights and obligations under the Agreement with the written consent of the Customer. The same shall apply if the Supplier is de-merged into several companies or in the case of assignment to a subsidiary or another company within the same group, but not if the Supplier is merged with another company. Such consent shall not be unreasonably withheld. If the Customer is a public sector body, the right to assignment in the paragraph above shall only apply if the new supplier meets the original qualification requirements, no other material changes are made to the Agreement, and the assignment is not made to circumvent the regulations concerning public procurement. The right to payment under this Agreement may be assigned freely. Such assignment shall not release the relevant Party from its obligations and responsibilities.
Assignment by the Supplier. The Supplier may not assign or transfer in whole or in part its rights and obligations under this Agreement without the prior written consent of CFS, such consent not to be unreasonably withheld.
Assignment by the Supplier. The Supplier may assign its rights under the Contract without the prior written consent of FleetCo, provided that such assignment or transfer does not prejudice any rights or benefits of FleetCo (including, without limitation, any set-off rights under the Contract against any assignee of the Supplier) and does not grant such assignee any more rights against FleetCo than those granted to the Supplier under the Contract.
