Common use of Assignment of Causes of Action Clause in Contracts

Assignment of Causes of Action. Seller hereby sells, assigns, transfers and conveys to Purchaser all right, title and interest it has in and to all causes of action and enforcement rights, whether currently pending, filed, or otherwise, for the Patents and all inventions and discoveries described therein, including without limitation all rights to pursue damages, injunctive relief and other remedies for past, current and future infringement of the Patents.

Assignment of Causes of Action. Upon the terms and subject to the conditions set forth in this Agreement, at the Closing, Seller shall and hereby sellsdoes sell, assignsassign, transfers transfer and conveys convey to Purchaser any and all right, title and interest it has in and to all causes of action and enforcement rights, whether known, unknown, currently pending, filed, or otherwise, for the Patents and all inventions and discoveries described thereinPatents, including without limitation all of Seller’s rights and interests to pursue damages, injunctive relief and other remedies for past, current and future infringement of the PatentsPatents (the “Causes of Action”).

Effective as of the Closing Date, Seller hereby sells, assigns, transfers and conveys to Purchaser all right, title and interest it has in and to all causes of action and enforcement rights, whether currently pending, filed, or otherwise, for the Patents Assigned Patent and all inventions and discoveries described therein, including without limitation all rights to pursue damages, injunctive relief and other remedies for past, current and future infringement of the PatentsAssigned Patent as of the Effective Date.

Seller Effective on the Effective Date, Sellers hereby sellssell, assignsassign, transfers transfer, and conveys convey to Purchaser all rightrights, title titles, and interest it has interests they have in and to all causes of action and enforcement rights, whether currently pending, filed, or otherwise, for the Patents Intellectual Property Rights and all inventions and discoveries described thereinin the Assignment of Invention Agreement, including without limitation all rights to pursue damages, injunctive relief relief, and other remedies for past, current current, and future infringement of the Patentsintellectual property.

Effective as of the Closing Date, Seller hereby sells, assigns, transfers and conveys sets over to Purchaser all right, title and interest it has in and to all causes of action and enforcement rights, whether currently pending, filed, or otherwise, for the Patents Assigned Patent and all inventions and discoveries described therein, including without limitation all rights to pursue damages, injunctive relief and other remedies for past, current and future infringement of the PatentsAssigned Patent as of the Effective Date.

Assignment of Causes of Action.
