Warranty Beneficiaries. In addition to benefiting the District and its successors and assigns, the Warranties and Subcontractor Warranties provided under this Section 23 shall inure to the benefit of, and shall be directly enforceable by, any local agencies and Utility Companies with respect to those portions of the Work owned or controlled by each such Person.

In addition to benefiting HPTE and its successors and assigns, the warranties and Sub-Contractor warranties provided under this Section 21 are for the benefit of CDOT and any local agencies, and Utility Owners with respect to those portions of the work owned or controlled by each such Person and the Concessionaire agrees that HPTE may enforce such warranties on behalf of CDOT and any such local agencies, and Utility Owners to recover any loss or damage suffered by CDOT and any such local agencies, and Utility Owners to the extent that such loss or damage could have been recovered by HPTE under this Contract if HPTE had itself suffered that loss or damage.

In addition to Buyer, Seller’s warranties will be available to, and for the benefit of, Xxxxx’s successors, assigns and customers, and users of goods containing the Products or Services. Seller agrees to take steps to allow Buyer to benefit from any manufacturer’s warranties for purchased components included in the Products. 5.5
Warranty Beneficiaries a. The Warranties (including, for certainty, the Additional Warranties) are for the express benefit of the Developer in order for the Developer to satisfy its obligations to each of the Enterprises, CDOT and, with respect to those Warrantied Elements to be maintained by each of them, the City of Denver and Denver Public Schools (all such beneficiaries, together, the “Warranty Beneficiaries”) under Section 9.4 of the Project Agreement. The Construction Contractor acknowledges and agrees that pursuant to Section 9.4.2 of the Project Agreement, the Enterprises shall have the right, on behalf of any Warranty Beneficiary, to enforce the Warranties (as defined in the Project Agreement) relating to such Warranty Beneficiary’s Warrantied Elements, and upon such occurrence the Developer shall have the right to enforce the Warranties granted hereunder and the Construction Contractor’s obligations under Part 2, Sections 9.4.1 to 9.4.5 as such obligations apply to such Warrantied Elements. The Construction Contractor acknowledges and agrees that pursuant to Section 9.4.2.a of the Project Agreement, the Enterprises is required to coordinate with the Warranty Beneficiaries with a view to the Enterprises being the primary party with which the Developer is required to interface in connection with any such enforcement. The Developer shall coordinate the exercise of such right of enforcement with the Enterprises, with a view to the Developer being the primary party with which Construction Contractor is required to interface in connection with any such enforcement.
b. The rights and remedies of the Developer arising with respect to any breach of the Warranties shall not limit the Construction Contractor’s liability or responsibility, or the Developer’s rights and remedies, under this Agreement or Law with respect to the CC Work, including with respect to any Defect, Nonconforming Work, CC Noncompliance Event, Non-Permitted Closure, breach, fraud, willful misconduct, criminal conduct, recklessness, bad faith or negligence.
Warranty Beneficiaries. All of Contractor’s warranties and all warranty remedies hereunder shall be for the benefit of, and shall be enforceable by the Owner. Those warranties and remedies obtained by vendors and suppliers shall also be made enforceable by the Owner.

In addition to benefiting the Alamo RMA, and its successors and assigns, the Warranties and Subcontractors’ warranties provided under this Section 12 shall inure to the benefit of and shall be directly enforceable by local agencies and Utility Owners, with respect to their facilities.

Warranty Beneficiaries. When Local Agencies, Railroads, or Utility Owners own and control a portion of the Work, then these Local Agencies, Railroads, or Utility Owners are intended to be benefitted by and may directly enforce the Warranties and Subcontractor Warranties related to that work.
