Assignment of Lease Agreement. Buyer shall have received duly executed signature pages to the Assignments of Lease Agreements.
Assignment of Lease Agreement. Prior to the Closing, Sellers shall use their respective reasonable best efforts to cause certain entities to assign certain existing lease agreement(s) to certain Company Subsidiaries as provided in Schedule 6.12 of the Disclosure Schedules.
Assignment of Lease Agreement. Project BEE/Assignor and the City/Assignee hereby agree that by signing this Agreement, Project BEE/Assignor assigns, and City/Assignee assumes, all of Project BEE/Assignor’s rights, titles, and interests, obligations, responsibilities, and duties under the Lease Agreement unless stated otherwise in this Agreement on February 6, 2024 (Assignment Date).
Assignment of Lease Agreement. The Corporation hereby acknowledges that all Lease Payments and its rights, title and interest in this Lease Schedule and, with certain exceptions, the Lease Agreement have been assigned to the Trustee pursuant to the Assignment of Lease Agreement, dated as of June 1, 2003, as supplemented and amended pursuant to a Second Amendment to Assignment of Lease Agreement between the Corporation and the Trustee, dated as of March 1, 2009, and that all of its right, title and interest in the Ground Lease Agreement, dated as of March 1, 2009, between the Board and the Corporation (the "Ground Lease"), have been assigned to the Trustee pursuant to the Assignment of Ground Lease, dated as of March 1, 2009, from the Corporation to the Trustee.
Assignment of Lease Agreement. The landlord under the Lease Agreement shall have agreed to an assignment of the Lease Agreement to the Purchaser. Purchaser and Rick’s shall cooperate in any reasonable manner requested by DI Food to assist DI Food in procuring said assignment from Landlord.
Assignment of Lease Agreement. The specific agreement creating a first lien on and pledge of the Co-op Shares and the appurtenant Proprietary Lease securing a Co-op Loan.
Assignment of Lease Agreement shall be as defined in the recitals.
Assignment of Lease Agreement. Tenant, successors, heirs, executors or administrators shall not assign this agreement, or underlet or under-lease the Premises, or any part thereof, or make any alterations on the Premises, without the Landlord's consent in writing. Tenant shall have the right with Xxxxxxxx's consent, to assign this Lease Agreement to a corporation with which Tenant may merge or consolidate, to any subsidiary of Tenant, to any corporation under common control with Tenant, or to a purchaser of substantially all of Tenant's assets. Such consent shall not be unreasonably withheld or delayed.
Assignment of Lease Agreement. After March 31, 1998, Novo Nordisk shall be entitled to assign the Lease Agreement, with the consent of Frigoscandia A/S, and HemaPharm shall accept such assignment of all rights and obligations under the Lease Agreement. In addition this Agreement shall be assignable to each Party's Affiliates as defined in the Asset Purchase Agreement.
Assignment of Lease Agreement. As a condition of the Closing of this Agreement, Seller shall assign all its right, title and interest under a Lease to Purchaser relating to its Des Moines, Iowa location. A copy of said Assignment of Lease is attached hereto as Exhibit H-1. The Consent of the underlying Landlord shall be obtained as reasonably soon after Closing as possible.
