Assignment of Rights to the Escrow Fund; Assignment of Obligations; Successors. (a) Except as provided in this Section 9, a party hereto may not assign any of its rights or obligations hereunder without the prior written consent of the Escrow Agent, the Buyer and the Representative. The Buyer may freely assign this Agreement (i) to any successor in interest to the Buyer by way of a merger, consolidation, sale of all or any material portion of its assets, or otherwise or (ii) to any Affiliate of Oneida or the Buyer. In the event of each such assignment the assignee shall receive the benefit of this Agreement and shall succeed to all of the rights of the Buyer hereunder. This Agreement will be binding upon and inure to the benefit of the parties hereto and their respective successors, heirs, legatees and permitted assigns. (b) Anything in this Agreement to the contrary notwithstanding, in no event shall the Escrow Agent be liable for special, indirect or consequential loss or damage of any kind whatsoever (including but not limited to lost profits), even if the Escrow Agent has been advised of the likelihood of such loss or damage and regardless of the form of action. The parties hereto acknowledge that the foregoing indemnities shall survive the resignation or removal of the Escrow Agent or termination of this Agreement.

  • Non-Assignment of Agreement The Grantee may not assign, sublicense or otherwise transfer its rights, duties or obligations under this Agreement without the prior written consent of the Division, which shall not unreasonably be withheld. The agreement transferee must demonstrate compliance with the requirements of the project. If the Division approves a transfer of the Grantee’s obligations, the Grantee shall remain liable for all work performed and all expenses incurred in connection with this Agreement. In the event the Legislature transfers the rights, duties and obligations of the Division to another governmental entity, pursuant to Section 20.06, Florida Statutes or otherwise, the rights, duties and obligations under this Agreement shall be transferred to the succeeding governmental agency as if it was the original party to this Agreement.

(ii) The Agreement Holder, and any assignee, must comply with applicable securities laws. Once the foregoing conditions have been satisfied with respect to an assignment, the assignee or its successor shall be deemed to be the sole Agreement Holder for all purposes of this Agreement and Principal Life shall promptly amend its records to reflect the assignee’s status as Agreement Holder.

  • Assignment of Rights Borrower acknowledges and understands that Agent or Lender may, subject to Section 11.7, sell and assign all or part of its interest hereunder and under the Loan Documents to any Person or entity (an “Assignee”).
