Common use of ASSIGNMENTS/SUBCONTRACTING Clause in Contracts

ASSIGNMENTS/SUBCONTRACTING. IOMED may not assign (other than by operation of law in the event of an acquisition of IOMED, or a merger or similar transaction, subject to the provisions as set forth in Article IX Paragraph 3) the rights licensed by ELAN under Article II without the prior written consent of ELAN, which may be withheld in ELAN's sole discretion. ELAN shall be entitled to assign its rights and obligations to an AFFILIATE. ELAN may not assign to an unaffiliated third party (other than by operation of law in the event of an acquisition of ELAN, or a merger or similar transaction) its rights under this Agreement without the prior written consent of IOMED, which may be withheld in IOMED's sole discretion.
