Assistance Obligations of Buyer. After the Closing, Buyer will (and will cause the Transferred Companies and its other Affiliates to) reasonably assist Parent and its Affiliates in preparing information for various Governmental Authorities or third party insurance providers under policies held by Parent or its Affiliates after the Closing to the extent that such information relates to the transactions contemplated by this Agreement, the Business, the Business Assets and/or the liabilities of the Business. Such information includes, but is not limited to, information required by Parent and its Affiliates to (i) comply with their financial reporting requirements and (ii) to submit any claims that would reasonably be expected to be covered under the insurance policies of Parent or its Affiliates or their respective self-insurance programs in respect of events, circumstances and occurrences prior to Closing. Parent shall reimburse Buyer for all reasonable out-of-pocket expenses (excluding internal costs) actually incurred by Parent and its Affiliates in connection with the compliance by Parent with its obligations under this Section 4.17.

Following the Closing, Buyer will (and will cause the Transferred Companies and its other Affiliates to) reasonably assist Seller and its Affiliates in preparing information for various Governmental Authorities or other third Persons following the Closing to the extent that such information relates to the transactions contemplated by this Agreement or the Transferred Companies and their operations prior to the Closing. Seller shall reimburse Buyer for all reasonable out-of-pocket expenses (excluding internal costs) actually incurred by Buyer and its Affiliates in connection with the compliance by Buyer with its obligations under this Section 4.8.
