ASSOCIATION BOARD; POWERS AND DUTIES. The directors named in the Homeowners' Association's Articles of Incorporation constitute the Association's first Board which shall hold office and which shall hold and exercise all of the rights, duties, powers and functions of the Board set forth in this Declaration, and the By-Laws, until the first election of Directors by the members of the Association at the first annual membership meeting. The Board shall have all powers for the conduct of the affairs of the Association as provided by this Declaration, by applicable law, and by the Articles of Incorporation and By-Laws of the Association, which are not specifically reserved to the members of Developer herein. Without limitation thereon, the Board shall have the power and obligation to perform the following duties:
