Assxxxxxxx. Xxis Agreement and all xx xxx xxxxxxxxns hereof shall be binding upon and inure to the benefit of the Parties hereto and their respective successors and permitted assigns, but neither this Agreement nor any of the rights, interests or obligations hereunder shall be assigned by either Party hereto, including by operation of law, without the prior written consent of the other Party, such consent not to be unreasonably withheld, nor is this Agreement intended to confer upon any other Person except the Parties hereto any rights, interests, obligations or remedies hereunder. No provision of this Agreement shall create any third party beneficiary rights in any employee or former employee of Seller (including any beneficiary or dependent thereof) in respect of continued employment or resumed employment, and no provision of this Agreement shall create any rights in any such Persons in respect of any benefits that may be provided, directly or indirectly, under any employee benefit plan or arrangement except as expressly provided for thereunder. Notwithstanding the foregoing, but subject to all applicable legal requirements, and provided it does not materially adversely affect any regulatory approvals required under this Agreement, (a) Buyer or its permitted assignee may assign, transfer, pledge or otherwise dispose of (absolutely or as security) its rights and interests hereunder to a trustee, lending institution or other party for the purposes of leasing, financing or refinancing the Purchased Assets, including such an assignment, transfer or other disposition upon or pursuant to the exercise of remedies with respect to such leasing, financing or refinancing, or by way of assignments, transfers, pledges, or other dispositions in lieu thereof, (b) Buyer or its permitted assignee may assign, transfer, pledge or otherwise dispose of (absolutely or as security) its rights and interests hereunder to a wholly-owned subsidiary of Buyer (provided that the assignee agrees to be bound by the terms and conditions hereof), and (c) Buyer or its permitted assignee may assign, transfer, pledge or otherwise dispose of its rights and interests to cause Seller to perform in accordance with the provisions of Section 6.12 hereof in connection with any subsequent disposition by Buyer of the Purchased Assets; provided, however, that no such assignment shall relieve or discharge Buyer from any of its obligations hereunder. Assxxxxxxx. Xhis Agreement shall be binding upon, and inure to the benefit of, the parties' respective successors, permitted assigns, and heirs and legal representatives. This Agreement may be assigned to, and thereupon shall inure to the benefit of, any organization which succeeds to substantially all of the business or assets of the Company, whether by means of merger, consolidation, acquisition of all or substantially all of the assets of the Company or otherwise, including, without limitation, by operation of law, provided, however, that in the event of any such assignment, equitable adjustments shall be made to any financial criteria or targets required to be met by Executive. This Agreement is a personal services contract and may not be assigned by Executive nor may the duties of Executive hereunder be delegated by Executive to any other person.

Assxxxxxxx. Employee acknowledges that his services are unique and personal. Accordingly, Employee may not assign his rights or delegate his duties or obligations under this Agreement. Company's rights and obligations under this Agreement shall inure to the benefit of and shall be binding upon the Company's successors and assigns. Company has the absolute right to assign it's rights and benefits under the terms of this Agreement.
Assxxxxxxx. Xxxx'x shall require any successors (xxxxxxx xxxxxx or indirect, by purchase, merger, consolidation or otherwise) to a controlling interest in the business, assets or equity of Conn's to assume and agree to perform this Agreement in the same manner and to the same extent that Conn's would be required to perform if no such succession had taken place. This Agreement is a personal employment contract and the rights, obligations and interests of Executive under this Agreement may not be sold, assigned, transferred, pledged or hypothecated by Executive.
Assxxxxxxx. Xxxxx xnd the Howxxx Xxxxxxxxxxes may assign (by written instruments in forx xxxxonably acceptable to the parties) any of their rights hereunder (in whole or in part) to one or more transferees of Subordinated OLP Units or Common OLP Units ("Assignee"). Any such assignment may provide that each Assignee shall be entitled (subject to priorities in registration rights) to participate in a sale of Common Units pursuant to this Agreement and, with respect to any such participation, to have all of the rights of its assignor provided in this Agreement, provided that the assignment of rights by Basis or any Howell Subsidiary shall not enlarge the rights of Basis or anx Xxxxll Subsidiary hereunder, and any such assignment shall esxxxxxxh the procedures for the exercise of the rights originally granted to Basis or such Howell Subsidiary hereunder, as the case may be. This Agreemxxx xxall be binding upon and inure to the benefit of and be enforceable by the parties hereto and their successors and assigns. In case Basis transfers less than all of its Subordinated OLP Units and Common OLP Units (collectively, the "OLP Units") to one or more transferees, Basis shall retain the right to act on behalf of such transferees for purposes of this Agreement. In case Basis transfers all of its OLP Units to one or more transferees, Basis shall appoint an agent who shall act on behalf of such transferees for purposes of this Agreement. In case any Howell Subsidiary transfers its OLP Units, Howell shall act ox xxxxlf of the transferee(s) for purposes xx xxxs Agreement. In case all of the Howell Subsidiaries transfer their OLP Units to one or more txxxxxxrees, Howell shall appoint an agent who shall act on behalf of such xxxxxferee(s) for purposes of this Agreement.
Assxxxxxxx. Xxxx Agreement may be assigned by a party hereto only with the consent of the other party, and shall be binding on the successors and permitted assigns of each of the parties.
Assxxxxxxx. Xxxxher this Agreement nor xxx xxxxxx xxxeunder, in whole or in part, shall be assignable or otherwise transferable by either party without the express written consent of the other party.
Assxxxxxxx. Xx. Pershing shall have no rights xx xxxx, assign, transfer, encumber, or otherwise convey the right to receive the payment of any benefit due hereunder, which payment and the rights thereto are expressly declared to be nonassignable and nontransferable. Any attempt to do so shall be null and void and of no effect.
