At Closing, Seller. Buyer and Escrow Agent shall enter into a mutually satisfactory escrow agreement pursuant to which Seller shall deposit $5,000,000 (the "Post-Closing Deposit") with Escrow Agent and may deposit additional funds pursuant to Section 6.2 (c) hereof (and defined therein as the Section 6.2 Deposit) or Section 9(b) hereof (and defined therein as the Section 9 Deposit). The Post-Closing Deposit and the Section 6.2 Deposit, if any, and the Section 9 Deposit, if any, are sometimes herein collectively called the "Closing Deposits"). The Closing Deposits shall be invested solely in short-term United States Treasury securities or other insured, low-risk, short-term securities mutually agreed upon. Interest accruing on such Closing Deposits shall be promptly released from the escrow and paid monthly to Seller. Buyer acknowledges that Seller may assign its rights to the Closing Deposits to its partners. Escrow Agent shall hold the Closing Deposits in an interest-bearing account. In connection therewith: (i) The Post-Closing Deposit shall be released (i) to Seller upon the expiration of the Warranty Period, in the event and to the extent that the Post-Closing Deposit exceeds the amount of claims having been asserted in writing by Buyer against Seller post-closing under Section 30(a) hereof less the Basket ("Post-Closing Claims") prior to the expiration of the Warranty Period, and (ii) to Buyer, with respect to Post- Closing Claims asserted in writing prior to the expiration of the Warranty Period, an amount (not to exceed the Post-Closing Deposit) as agreed upon by Seller and Buyer or to which Buyer is entitled pursuant to the arbitration provided for herein, with any balance to Seller. At Closing, Seller and Buyer shall enter into a Master Space Sharing Agreement, substantially in the form attached to Annex 1.1 (the "Master Space Sharing Agreement"), relating to the spaces listed on Annex 6.12 (the "Shared Spaces"), pursuant to which, among other things, Seller shall grant to Buyer the right to use and occupy certain areas in the Shared Spaces in exchange for the payment of certain amounts and Buyer's assuming certain obligations with respect to such areas. Any consents to the Master Space Sharing Agreement which may be required to be obtained under any of the Real Estate Leases shall not be a condition to Closing, and neither Seller nor Buyer shall seek to obtain such consents.

  • Closing Deliveries of Purchaser At the Closing, Purchaser shall deliver to Seller:

  • Purchase Price Closing (a) The total amount which the buying party shall pay the selling party in a purchase shall be the amount that the selling party would have received if the Company (i) sold the Property for an amount equal to the Buy-Sell Stated Value, (ii) satisfied the indebtedness of the Company specifically referred to in subsection (b) below (and no other liabilities) out of the sale proceeds and (iii) distributed the remaining balance to Administrative Agent and PACOP in accordance with their respective percentage ownership interests in the Company (i.e., 51%, in the case of PACOP, and up to 49%, in the case of Administrative Agent). (b) In determining the amount of the liabilities that the Company would pay pursuant to Subsection 2(a)(ii), it shall be assumed that the Company would satisfy (through payment of the full payoff amount), in order, the following liabilities in full (and no others): (i) the Secured Note, and (ii) any Mezzanine Loan Deficiency. As used in this Agreement “Mezzanine Loan Deficiency” shall be determined based upon the actual amount received (or bid or credited, as applicable) by Administrative Agent at a foreclosure sale under and in accordance with the Security Agreement on such Membership Interests as Administrative Agent may foreclose on expeditiously and without opposition; the full payoff amount of the loans evidenced by the Mezzanine Loan Agreement, less the amounts so received, bid or credited, as applicable, shall be the Mezzanine Loan Deficiency. In the event that Administrative Agent has not yet foreclosed on the Pledged Interests, the Mezzanine Loan Deficiency shall be an amount equal to the full outstanding amount of the Mezzanine Loan. Administrative Agent shall provide PACOP notice of such foreclosure sale as required by the New York Uniform Commercial Code. PACOP hereby fully waives any right to challenge the determination and calculation of such Mezzanine Loan Deficiency.

(3) Seller and Xxxxx shall execute and deliver any notices, statements, certificates, affidavits, releases, loan documents and other documents reasonably required for the closing of the sale and the issuance of the Title Policy. (4) There will be no liens, assessments, or security interests against the Property which will not be satisfied out of the sales proceeds unless securing the payment of any loans assumed by Buyer and assumed loans will not be in default.
