Common use of Audit/Access to Records Clause in Contracts

Audit/Access to Records. Subject to the requirements of paragraphs 7.3 and 9.0 of this Agreement, LCCC and its employees and other agents shall have access to any books, documents, papers, and records of the Foundation which are pertinent to this Agreement and not protected by a legal privilege. The Foundation shall, immediately upon receiving written instruction from LCCC, provide to any independent auditor, accountant, or accounting firm, all books, documents, papers, and records of the Foundation which are pertinent to this Agreement and not protected by a legal privilege, subject to the provisions of paragraph 7.3 of this Agreement, which shall apply to each person working for any such auditor, accountant or auditing firm. The Foundation shall cooperate fully with any such independent auditor, accountant, or accounting firm during the entire course of any audit authorized by LCCC.
