Audits of Services, Deliverables and inspections. (a) Upon notice from DIR, Vendor will provide, and will cause its agents and its Subcon- tractors to provide, such auditors and inspectors as DIR may from time to time des- ignate, with access to: (1) Vendor, agent and Subcontractor service locations, facilities, or installations; and (2) Vendor, agent and Subcontractor Software and Equipment. (b) Vendor must provide, and shall cause its agents and its Subcontractors to provide, as part of the Services, any assistance that such auditors and inspectors reasonably may require to complete such audits or inspections.
