Common use of Authorisations Clause in Contracts

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) must promptly obtain, maintain and comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent of, terms of any Authorisation authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under under, or for the Finance Documents and to ensure the legalityvalidity or enforceability of, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) upon written request by the Agent or a Finance Party, supply certified copies to the Agent and/or a Finance Party, as the case may be, of, any Authorisation authorisation required or desirable under any applicable law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents to which it is a party and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) obtain, maintain and comply in all material respects with and do all that is necessary to maintain in full force and effectthe terms of; and (b) if requested, supply certified copies to the Agent of, any Authorisation authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under under, or for the Finance Documents and to ensure the legalityvalidity or enforceability of, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent Lender of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) promptly obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent of, effect any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) obtain, promptly comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent of, effect and obtain any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure (subject to any general principles of law specifically referred to in any legal opinion delivered pursuant to Clause 4.1 (Initial conditions precedent)) the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. (a) Each Obligor shall promptly: (ai) obtain, comply with and do all that is necessary to maintain in full force and effect; and (bii) on request by the Agent, supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure ensure, subject to the Legal Reservations, the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) obtain, maintain and comply with and do all that is necessary to maintain in full force and effectthe terms of; and (b) if requested, supply certified copies to the Facility Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under under, or for the Finance Documents and to ensure the legalityvalidity or enforceability of, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Facility Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent (at its request) of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to a Relevant Jurisdiction to: (i) enable it to perform its obligations under the Finance Documents and to Documents; and (ii) ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance DocumentDocument to which it is a party.

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, (subject to the Legal Reservations) enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent Lender of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to a Relevant Jurisdiction to: (i) enable it to perform its obligations under the Finance Documents and to Documents; (ii) ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document; and (iii) carry on its business where failure to do so has or is reasonably likely to have a Material Adverse Effect.

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Transaction Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Transaction Document.

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation the Relevant Jurisdictions to enable it to perform its obligations under the Finance Documents and Documents, to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation each Relevant Jurisdiction of any Finance DocumentDocument and, where failure to do so has or is reasonably likely to have a Material Adverse Effect, carry on its business.

Each Obligor shall promptly: (a) 22.1.1 obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) 22.1.2 supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) on request, supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Each Obligor shall promptly: (a) promptly obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent of, effect any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance DocumentDocuments.

Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply upon written request from the Agent certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to to: (i) enable it to perform its obligations under the Finance Transaction Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Transaction Document; or (ii) own its assets and carry on its business as it is being conducted.

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply copies certified copies by the directors of the Company to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation the Relevant Jurisdictions to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation each Relevant Jurisdiction of any Finance Document.

Each Obligor shall promptly: (a) promptly obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) effect and supply upon request to the Lender certified copies to the Agent of, of any Authorisation required under any law or regulation of its jurisdiction of incorporation to to: (a) enable it to perform its obligations under the Finance Transaction Documents and to which it is a party; (b) ensure the legality, validity, enforceability or admissibility in evidence in of the Transaction Documents; and (c) carry on its jurisdiction of incorporation of any Finance Documentbusiness where a failure to do so has or would reasonably be expected to have a Material Adverse Effect.

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Facility Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation the Relevant Jurisdictions to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation each Relevant Jurisdiction of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Facility Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it and any Security Provider to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor of the Obligors shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) upon request of the Agent, supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation a Relevant Jurisdiction to enable it to perform its obligations under the Finance Documents and to Documents, ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) upon written request by the Agent, supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) promptly obtain, and thereafter maintain and comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to a Relevant Jurisdiction to: (a) ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document; and (b) enable it to own its assets and to carry on its business, trade and ordinary activities as currently conducted, where failure to obtain, maintain or comply with those Authorisations could reasonably be expected to have a Material Adverse Effect.

Authorisations. Each Obligor shall promptly: (a) promptly obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent of, effect any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: : (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and and (b) supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation and any other relevant jurisdiction of any Finance DocumentDocument to which it is a party.

Authorisations. Each Obligor shall promptly: (a) promptly obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent of, any Authorisation authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and Transaction Documents and to ensure (subject to Legal Reservations) the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document and Transaction Document.

Authorisations. Each Obligor shall promptly: (a) obtain, maintain and comply with and do all that is necessary to maintain in full force and effectthe terms of; and (b) upon request, supply certified copies to the Facility Agent of, any Authorisation authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under under, or for the Finance Documents and to ensure the legalityvalidity or enforceability of, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance DocumentDocument to which it is a party.

Authorisations. Each Relevant Obligor shall must promptly: (a) obtain, maintain and comply with and do all that is necessary to maintain in full force and effectthe terms; and (b) supply certified copies to the Agent ofFacility Agent, of any Authorisation authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under under, or for the Finance Documents and to ensure the legalityvalidity or enforceability of, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to to: (i) enable it to perform its obligations under the Finance Documents and to the Bridge Finance Documents; and (ii) ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document and any Bridge Finance Document.

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and: (bi) supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document; and (ii) any material Authorisation required for it to carry on its business; and (b) supply certified copies to the Lender of any Authorisation referred to in sub-paragraph (a)(i).

Authorisations. Each Obligor shall promptly: (ai) obtain, comply with and do all that is necessary to maintain in full force and effect; and (bii) supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor The Obligors shall promptly: (a) promptly obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) , and supply to the Lender certified copies to the Agent of, any Authorisation authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) 23.1.1 obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) 23.1.2 supply certified copies to the Facility Agent of, any Authorisation (including without limitation any material licences) required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) obtain, obtain and comply with and do all that is necessary to maintain in full force and effectwith; and (b) if required by the Agent, supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation Original Jurisdiction to enable it to perform its material obligations under the Finance Documents and to ensure the legality, validity, validity and enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance DocumentDocument where any failure so to obtain or comply would have or would be reasonably likely to have a Material Adverse Effect.

Authorisations. Each Obligor shall promptly: (a) promptly obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent of, effect any Authorisation required under any law or regulation of its jurisdiction of incorporation to a Relevant Jurisdiction to: (i) enable it to perform its obligations under the Finance Documents and to Documents; (ii) ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document; and (iii) carry on its business where failure to do so has or is reasonably likely to have a Material Adverse Effect.

Authorisations. Each Obligor shall promptly: (a) 21.1.1 obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) 21.1.2 upon request of the Agent, supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its material obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall must promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) if requested, supply certified copies to the Facility Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to continue trading and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document, where failure to do so is reasonably likely to have a Material Adverse Effect.

Authorisations. Each Obligor shall promptly: (a) obtain, maintain and comply with and do all that is necessary to maintain in full force and effectthe terms of; and (b) at the Agent's reasonable request, supply certified copies to the Agent of, any Authorisation authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under under, or for the Finance Documents and to ensure the legalityvalidity or enforceability of, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent Lender of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation (in the case of the Borrower) or domicile (in the case of each Personal Guarantor) of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) 20.1.1 obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) 20.1.2 supply certified copies to the Agent Lender of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) obtain, maintain and comply with and do all that is necessary to maintain in full force and effectthe terms of; and (b) supply certified copies to the Agent of, any Authorisation authorisation required of it under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under under, or for the Finance Documents and to ensure the legalityvalidity or enforceability of, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Each Obligor shall promptly: promptly:- (a) obtain, maintain and comply with the terms of; and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent of, any Authorisation authorisation required by it under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under under, or for the Finance Documents and to ensure the legalityvalidity or enforceability of, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Facility Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability en- forceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) if so requested by the Facility Agent (acting reasonably), supply certified copies to the Facility Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent of, any Authorisation authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) 20.2.1 obtain, comply with and do all that is necessary to maintain in full force and effecteffect each Authorisation; and (b) 20.2.2 upon the reasonable request of the Agent, supply certified copies to the Agent ofof each material Authorisation, any Authorisation in each case required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance DocumentDocument subject to any limitations expressed in Clause 20.2 (Binding Obligations).

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effecteffect in all material respects; and (b) supply certified copies to the Facility Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. (a) Each Obligor shall promptly: : (ai) obtain, comply with and do all that is necessary to maintain in full force and effect; and and (bii) supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation Home Jurisdiction to enable it to perform its obligations under the Finance Transaction Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation Home Jurisdiction of any Finance Transaction Document.

Authorisations. Each Obligor shall promptly: : (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and and (b) supply certified copies to the Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document, if failure to do so would materially impair its ability to perform its obligations under the Finance Documents.

Authorisations. Each Obligor shall promptly: (a) 23.1.1 obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) 23.1.2 upon written request by the Agent, supply certified copies to the Agent of, any Authorisation required or desirable under any applicable law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents to which it is a party and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. Each Obligor shall promptly: (a) 23.1.1 obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) 23.1.2 upon written request by the Agent, supply certified copies to the Agent of, any Authorisation required under any applicable law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents to which it is a party and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.Document to which it is a party. ​

Each Obligor shall promptly: (a) promptly obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) supply certified copies to the Agent of, effect any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, validity and enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance DocumentDocument (and, if requested, supply certified copies to the Agent).

Authorisations. Each Obligor shall promptly: (a) obtain, comply with and do all that is necessary to maintain in full force and effect; and (b) upon request, supply certified copies to the Facility Agent of, any Authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents and to ensure the legality, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation incorporation] of any Finance Document.

Each Obligor shall promptly: (a) obtain, maintain and comply with and do all that is necessary to maintain in full force and effectthe terms of; and (b) upon the request of the Facility Agent, supply certified copies to the Facility Agent of, any Authorisation authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under the Finance Documents Documents, and to ensure the legality, validity, enforceability or and the admissibility in evidence in its jurisdiction of incorporation of any each Finance Document.

Each Obligor shall promptly:promptly:- (aA) obtain, maintain and comply with and do all that is necessary to maintain in full force and effectthe terms of; and (bB) supply certified copies to the Agent of, any Authorisation authorisation required under any law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under under, or for the Finance Documents and to ensure the legalityvalidity or enforceability of, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document.

Authorisations. (a) Each Obligor shall promptly: (ai) obtain, maintain and comply with and do all that is necessary to maintain in full force and effectthe terms of; and (bii) supply certified copies to the Agent of, any Authorisation authorisation required under any applicable law or regulation of its jurisdiction of incorporation to enable it to perform its obligations under under, or for the Finance Documents and to ensure the legalityvalidity or enforceability of, validity, enforceability or admissibility in evidence in its jurisdiction of incorporation of any Finance Document. (b) Each Obligor shall comply in all material respects with all laws and regulations applicable to it (including, for the avoidance of doubt, all rules and regulations contained in its constitutional documents).
