You. A. acknowledge that You Use the Licensed Varieties at your own risk;
B. indemnify Us against all Loss incurred by Us and resulting from your Use of any Seed, Retained Seed or Harvested Material or any breach of this Contract.
You. (a) are responsible for ensuring that your Account Credentials remain confidential and for taking such other precautions as may be necessary to ensure they cannot be used by any person other than you or your authorized representative and making sure that a third party is not provided access to your computer for example via using team viewer to turn on control on your compute;
(b) must notify us immediately if you become aware that your Account Credentials have in any way become compromised or if any third party may be able to access the Trading Platform; and
(c) You agree we do not have to establish the authority of anyone quoting your Trading Account number or Account Credentials. The use of your Account Credentials by any third party is expressly prohibited.
You may only use the Trading Platform for so long as you are authorized to do so; • may not use the Trading Platform for any purpose other than for the purpose for which it has been provided under this Agreement; and • are responsible for the use of the Trading Platform (including the Account Credentials) by you.
You. Any relative.
You i. Must ensure that sufficient funds are available in the nominated account to meet all drawings on their due dates;
ii. Must advise us immediately if the account nominated is transferred or closed;
iii. Must ensure a suitable alternate payment method is arranged with us if you terminate this direct debit authorisation;
iv. Are liable for all fees incurred by us in relation to failed drawings.
You. You and your spouse/partner
You a) must provide a copy of any executed subcontract agreement to us if requested;
b) retain responsibility for all of your obligations under this Contract despite entry into any subcontract arrangement, and are not relieved by any subcontract arrangement of any of your liabilities or obligations under this Contract or to otherwise provide the Training Services;
c) must ensure the suitability of the subcontractor and that any work performed by the subcontractor meets the requirements of this Contract;
d) are liable to us for the acts, omissions or negligence of any subcontractor (or any employee, officer or agent of the subcontractor) as if they were your acts, omissions or negligence (or those of your employees, officers or agents);
e) indemnify us (and must keep us indemnified) against any or all Loss arising f rom any acts or omissions by any subcontractor in connection with, or in the course of, the provision of the Training Services or any breach of this Contract (whether or not the breach is a Material Breach);
f) acknowledge that we are not liable for, nor will we become involved in, the internal administration of subcontract arrangements or act as a mediator between you and any subcontractor; and
g) must bear all costs associated with any subcontract arrangement.
