Common use of Authority and Legality Clause in Contracts

Authority and Legality. (i) Member is authorized to enter into, and perform its obligations under, this Agreement;

(i) Member is authorized to enter into, and perform its obligations under, this Agreement;; (ii) the person signing this Agreement on behalf of Member is duly authorized to execute this Agreement; (iii) this Agreement is valid and enforceable against Member in accordance with its terms; and (iv) the entry into, and performance of, this Agreement by Member will not violate any law, or conflict with any other agreement, to which Member is subject; (v) the Member will only use the products and Service for lawful purposes and in compliance with all applicable laws, rules, and regulations.
