Authority Consents Enforcement Noncontravention. (a) This Agreement, the Transition Supply and Services Agreement and the Escrow Agreement and any other document executed by Buyer in connection herewith (collectively the "Buyer Documents") constitute the legal, valid and binding obligations of Buyer, enforceable against Buyer in accordance with their terms. Buyer has the absolute and unrestricted right, power, authority, and capacity to execute and deliver this Agreement and to perform its obligations under this Agreement. Except for the Governmental Consents, Buyer does not need to give any notice to, make any filing with, or obtain any authorization, consent, or approval of any governmental body in order to consummate the Acquisition.
Authority Consents Enforcement Noncontravention. (a) Authority of Xxxxx, GSAC and Matrix; Binding Effect. This Agreement has been duly executed and delivered by Xxxxx, GSAC and Matrix and constitutes, and each and every agreement and instrument executed by Xxxxx, GSAC and Matrix in connection herewith, including without limitation, the Lost Records Affidavit contemplated in Section 7.1 and the Environmental Work Plan contemplated in Section 7.1 (collectively, the "Ancillary Documents") will constitute, the legal, valid and binding obligation of Xxxxx, GSAC and Matrix, enforceable against them in accordance with their respective terms. Xxxxx, GSAC and Matrix have the absolute and unrestricted right, power, authority and capacity, corporate or otherwise, to execute and deliver this Agreement and the Ancillary Documents, and to perform their respective obligations under this Agreement and the Ancillary Documents. Xxxxx is a corporation duly organized, validly existing and in good standing under the laws of the State of Georgia. Matrix is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware. GSAC is a corporation duly organized, validly existing and in good standing under the laws of the State of Oklahoma. Neither Xxxxx, GSAC nor Matrix needs to give any notice to, make any filing with, or obtain any authorization, declaration, consent or approval of any Governmental Body in order to consummate the transactions contemplated herein and in the Ancillary Documents, other than the HSR Act filing described in Section 7.1, and the filing of any releases under the UCC to the extent required to effect the transactions contemplated in this Agreement. Xxxxx has, and at all times has had, full corporate power and authority to own and lease its assets and properties as and where such assets and properties are now owned and leased, and to conduct its businesses as and where such businesses have been and are now being conducted. Set forth on Schedule 4.1 are true and complete copies of the Articles or Certificate of Incorporation and Bylaws of each Xxxxx Party, as amended through the date hereof.

  • Authority; Noncontravention; Consents (a) Seller has the requisite corporate power and corporate authority to enter into this Agreement and, subject to the approval (i) of the amendments to Seller's Charter as set forth on Exhibit D hereto ("Charter Amendments") and the recommendation by Seller Board that Seller should terminate its status as a real estate investment trust, in each case, by the affirmative vote of two-thirds of all votes entitled to be cast by the holders of the issued and outstanding Seller Common Shares and Seller Preferred Shares (voting on an "as converted" basis), voting as a single class, and (ii) of this Agreement and the Merger by the affirmative vote of a majority of all votes entitled to be cast by the holders of the issued and outstanding Seller Common Shares and Seller Preferred Shares (voting on an "as converted" basis), voting as a single class ((i) and (ii) collectively, the "Seller Stockholder Approvals"), and ratification and approval of the matters described in (i) and (ii) by Seller Board following stockholder approval ("Seller Board Approval") and the Seller Partner Approval to consummate the transactions contemplated by this Agreement to which Seller is a party. No material consent, approval, order or authorization of, action by or in respect of, or registration, declaration or filing with, any Governmental Entity is required by or with respect to Parent or Sub in connection with the execution and delivery of this Agreement by Parent and Sub or the consummation by Parent and Sub of the Merger or the other transactions contemplated by this Agreement, except for (1) the filing of a premerger notification and report form by Parent under the HSR Act and the receipt, termination or expiration, as applicable, of approvals or waiting periods required under the HSR Act or any other applicable competition, merger control, antitrust or similar law or regulation and (2) the filing of the Certificate of Merger with the Secretary of State of the State of Delaware.
