Common use of Authority Documentation Clause in Contracts

Authority Documentation. Such evidence of authority for the transactions contemplated hereby as shall be required by the Title Company, including (i) the certificate of incorporation of Buyer certified by the Secretary of State of Delaware as of a recent date and by its corporate secretary or assistant secretary, (ii) the bylaws of Buyer, certified by its corporate secretary or assistant secretary, (iii) a certificate of good standing as of a recent date for Buyer from the Secretary of State of Delaware and (iv) a certificate of Buyer’s corporate secretary or assistant secretary certifying resolutions of the board of directors of Buyer approving and authorizing the execution, delivery and performance by Buyer of this Agreement and the consummation of the transactions contemplated hereby (together with an incumbency and signature certificate regarding the officer(s) signing on behalf of Buyer).
