Authority of Individuals. Each Partner that is an individual (including, without limitation, each Additional Limited Partner or Substituted Limited Partner as a condition to becoming an Additional Limited Partner or a Substituted Limited Partner) represents and warrants to each other Partner that (i) such Partner has the legal capacity to enter into this Agreement and perform such Partner’s obligations hereunder and (ii) the consummation of the transactions contemplated by this Agreement to be performed by such Partner will not result in a breach or violation of, or a default under, any agreement by which such Partner or any of such Partner’s property is or are bound, or any statute, regulation, order or other law to which such Partner is subject.
Authority of Individuals. The individuals executing this Lease on behalf of Tenant personally warrant that they have full authority to execute this Lease in a representative capacity on behalf of Tenant for whom they are acting herein.

Each individual signing this Agreement represents and warrants that she or he has, individually or in concert with the other persons signing this Agreement on behalf of the same entity, the authority to sign this Agreement and thereby bind that entity to the terms and conditions of this Agreement.

Borrower hereby irrevocably authorizes Agent and each Lender to rely on telephonic, telegraphic, facsimile, telex or written instructions of any individual whom Agent or any Lender in good faith believes to be authorized to request a Credit Extension or a repayment hereunder with respect to any request to make a Credit Extension or a repayment hereunder, and on any signature which Agent or any such Lender believes to be genuine, and Borrower shall be bound thereby in the same manner as if such person were actually authorized or such signature were genuine. Borrower also hereby agrees to indemnify Agent and each of the Lenders and hold Agent and each of the Lenders harmless from and against any and all claims, demands, damages, liabilities, losses, costs and expenses (including Attorneys’ Fees) relating to or arising out of or in connection with the acceptance of instructions by Agent or any Lender for making Credit Extensions or repayments hereunder from such individuals, in the absence of gross negligence or willful misconduct by Agent or such Lender. The Obligations described under this Section 2.7.5 shall survive any termination of this Agreement.

Borrower also hereby agrees to indemnify Agent and each of the Lenders and hold Agent and each of the Lenders harmless from and against any and all claims, demands, damages, liabilities, losses, costs and expenses (including, without limitation, reasonable attorneys’ fees and expenses) relating to or arising out of or in connection with the acceptance of instructions for making Credit Extensions or repayments hereunder from such individuals except to the extent any such claims, demands, damages, liabilities, losses, costs and expenses were caused by the gross negligence or willful misconduct of Agent or such Lender. The Obligations described under this Section 2.6.5 shall survive any termination of this Agreement.

Each Borrower hereby irrevocably authorizes Agent and each Lender to rely on telephonic, telegraphic, facsimile, telex or written instructions of any individual whom Agent or any Lender in good faith believes to be an Authorized Representative or a person otherwise authorized to request a Credit Extension or a repayment hereunder with respect to any request to make a Credit Extension or a repayment hereunder, and on any signature which Agent or any such Lender believes to be genuine, and each Borrower shall be bound thereby in the same manner as if such person were actually an Authorized Representative or otherwise authorized or such signature were genuine. Each Borrower also hereby agrees to indemnify Agent and each of the Lenders and hold Agent and each of the Lenders harmless from and against any and all claims, demands, damages, liabilities, losses, costs and expenses (including, without limitation, reasonable attorneys' fees and expenses) relating to or arising out of or in connection with the acceptance of instructions for making Credit Extensions or repayments hereunder from such individuals, except to the extent such claims, demands, damages, liabilities, losses, costs or expenses were caused by the willful misconduct or gross negligence of Agent or such Lender (as applicable). The Obligations described under this Section 2.7.5 shall survive any termination of this Agreement.
Authority of Individuals. The individuals executing this ------------------------ Agreement and the instruments referred to herein on behalf of Seller have the legal power, right, and actual authority to bind Seller to the terms and conditions of those documents.
Authority of Individuals. Each Seller has full power to enter into and perform its obligations under this Agreement. This Agreement constitutes the legal, valid and binding obligation of each Seller, enforceable against each of them in accordance with their respective terms.
