Authority to Amend. Except as provided in Section 11.2 below, this Agreement may only be altered or amended by a written instrument signed by the General Partner and Limited Partners holding a Majority in Interest of the Residual Percentages, provided that no amendment may reduce a Partner's economic interest in the Partnership without the Partner's prior written consent.
