Authorizations of Qualified Borrower. The Administrative Agent shall have received from the Qualified Borrower appropriate evidence of the authorization of the Qualified Borrower approving the execution, delivery and performance of the Qualified Borrower Promissory Note, duly adopted by the Qualified Borrower, as required by Applicable Law or agreement, and accompanied by a certificate of an authorized Person of such Qualified Borrower stating that such authorizations are true and correct, have not been altered or repealed and are in full force and effect;

Authorizations of Qualified Borrower. The Agent shall have received from such Qualified Borrower, to the extent not previously delivered to the Agent with respect to such Qualified Borrower, (1) the Organizational Documents of such Qualified Borrower, (2) certificates of good standing, dated not more than thirty (30) days prior to the date of such Borrowing, evidencing such Qualified Borrower's good standing in the state of its incorporation or establishment and each other jurisdiction reasonably requested by the Agent, and (3) appropriate evidence of such Qualified Borrower's qualification to do business in all States in which such Qualified Borrower is required to be so qualified in connection with its existence and conduct of business; and

  • Governmental Authorizations; Private Authorizations; Governmental Filings The Borrower has obtained, maintained and kept in full force and effect all Governmental Authorizations and Private Authorizations which are necessary for it to properly carry out its business, except where the failure to do so could not reasonably be expected to have a Material Adverse Effect, and made all material Governmental Filings necessary for the execution and delivery by it of the Facility Documents to which it is a party, the Borrowings by the Borrower under this Agreement, the pledge of the Collateral by the Borrower under this Agreement and the performance by the Borrower of its obligations under this Agreement, the other Facility Documents, and no material Governmental Authorization, Private Authorization or Governmental Filing which has not been obtained or made, is required to be obtained or made by it in connection with the execution and delivery by it of any Facility Document to which it is a party, the Borrowings by the Borrower under this Agreement, the pledge of the Collateral by the Borrower under this Agreement or the performance of its obligations under this Agreement and the other Facility Documents to which it is a party.
