Common use of Authorized Dealers Clause in Contracts

Authorized Dealers. Licensee shall provide to Licensor within 10 days after the expiration of each calendar quarter during the term of this Agreement a list of all Authorized Dealers and Sublicensees. Licensor shall have the right, exercisable in its reasonable discretion, to give Licensee notice requiring Licensee to terminate any Authorized Dealer or Sublicensee that Licensor reasonably believes is not in compliance with the Quality Standards (after notice of such non-compliance and a reasonable opportunity to cure has been granted to such Authorized Dealer or Sublicensee) effective no later than 30 days from the date such notice is given by Licensor to Licensee. All Authorized Dealers and Sublicensees shall be bound by the Quality Standards and by Licensee's obligations under this Agreement. A breach by any such Authorized Dealer or Sublicensee of this Agreement shall be deemed a breach of this Agreement by Licensee; provided that Licensee's termination of such breaching Authorized Dealer or Sublicensee shall be deemed to cure any such breach.
