To the best of the knowledge, information and belief of the Vendor, there are no outstanding authorizations for expenditure or outstanding financial commitments respecting the Assets, pursuant to which expenditures are or may be required by the Purchaser as a result of the acquisition of the Assets or in respect of which any amount is outstanding, other than as specifically disclosed in Part IV of Schedule "A" or as may be authorized on behalf of the Purchaser hereunder;
