Authorized Use Only. Tenant shall use the Premises only for the purposes permitted by this Agreement. No items unrelated to that purpose are to be stored on the Premises. Tenant may not store any property outside of the Tenant Improvements.
Authorized Use Only. During the Term of this Agreement, the Symphony Classroom Solution (including all Symphony Classroom Offerings), once Registration and Onboarding is complete, is authorized solely for Authorized Use and for no other purpose. Authorized Use only includes Subscribed Functionality for specific Symphony Classroom Offerings pursuant to valid Subscriptions and in accordance with their terms, and Post-Subscription Functionality for those Symphony Classroom Offerings as applicable. The Institution is responsible for ensuring that all use of the Symphony Classroom Solution is an Authorized Use, and that such use is only in classrooms and facilities on a campus controlled by the Institution.
Authorized Use Only. The Xxxxxx Solution, once Registered and Onboarded, is authorized solely for Authorized Use and for no other purpose. Authorized Use may include Limited Functionality or, if Paired, Full Functionality. The Institution is responsible for ensuring that all use of the Xxxxxx Solution is an Authorized Use, and that such use is only in classrooms and facilities on a campus controlled by the Institution.
Authorized Use Only. As between Provider and Preventia, Provider is responsible for the acts and omissions of its Unique Providers, including their errors and omissions and other claims relating to the Provider Services. Provider will implement reasonable controls to ensure that the Preventia Application is only accessed and used by the then- currently authorized Unique Providers and only within each Unique Provider’s access level. Provider will promptly notify Preventia of any unauthorized access to or use of the Preventia Application that becomes known to Provider. Provider will take all reasonable steps to ensure that each Unique Provider’s access to and use of the Preventia Application is in compliance with the terms of this Provider Subscription Agreement. Provider will be responsible for any breaches by Unique Providers within Provider’s reasonable control, and will cooperate with Preventia in the enforcement of this Provider Subscription Agreement against all third party Unique Providers. Preventia will have the right to immediately discontinue Provider’s or a Unique Provider’s access to and use of the Preventia Application if such Unique Provider breaches the terms of this Provider Subscription Agreement or otherwise impedes or disrupts any third party’s use of the Preventia Application. Where reasonably possible, Preventia will deliver notice to Provider of the termination of a Unique Provider’s access to and use of the Preventia Application.
Authorized Use Only. Customer is responsible and liable for the acts and omissions of all Users. Customer will implement reasonable controls to ensure that the System is only accessed and used by the then-currently authorized Users. Customer will promptly notify Xxxxxxxx-Xxxxxx of any unauthorized access to or use of the System that becomes known to Customer. Customer will promptly notify Xxxxxxxx-Xxxxxx if a previously authorized user is no longer authorized by Customer to access the System. Customer will take all reasonable steps to ensure that each User’s access to and use of the System follows the terms of this Agreement. Customer will be responsible and liable for any breaches by Users and will cooperate with Xxxxxxxx-Xxxxxx in the enforcement of this Agreement against all third-party contractor or equipment supplier Users. Xxxxxxxx-Xxxxxx will have the right to immediately discontinue any User’s access to and use of the System if Customer or such User breaches the terms of this Agreement or otherwise impedes or disrupts any third party’s use of the System. Where reasonably possible, Xxxxxxxx-Xxxxxx will deliver notice to Customer of the termination of a User’s access to and use of the System. Customer shall indemnify and hold harmless Xxxxxxxx-Xxxxxx against any claims, suits, proceedings, expenses, losses, damages or other similar items relating to or arising from its or its Users breaches of this Agreement.
Authorized Use Only. Subscribers to the Free version of Alden One® are authorized only to view the assets of or communicate with others regarding the assets of a paid subscriber. ANY USE OR ATTEMPTED USE OF ALDEN ONE BY A FREE SUBSCRIBER FOR ANY OTHER PURPOSE IS STRICTLY PROHIBITED. Alden may terminate the free access to and use of Alden One® at any time after giving 30 days' notice in accordance with Section 10 (Notices).
Authorized Use Only. Project This Project Scope Agreement (PSA) is between Opiant Pharmaceuticals, Inc. (Opiant or Client), with an address of 000 Xxxxxxxx Xxxx, Xxxxx 000, Xxxxx Xxxxxx, XX 00000, and Summit Biosciences Inc. (Summit), with an address of 0000 Xxxx Xxx Xxxx, Xxxxxxxxx, XX. This PSA provides an estimate for the services to be performed by Summit for Opiant. In consideration for an estimated project cost of approximately $6.545 million, Summit will provide services related to product and method development, validation, GMP manufacturing and stability of an opioid antagonist nasal spray product as described more fully on Appendix A and Appendix B. Summit’s Specialized Capabilities for this Project Expertise and Regulatory Experience with Spray Drug Development Summit personnel have over 18 years of experience developing and manufacturing multiple nasal spray drug products, which includes extensive interaction with the FDA. This experience includes the development and qualification of analytical methods used to measure and characterize nasal spray drug products, which is critically important for gaining FDA approval. Summit’s extensive interaction with the FDA can be leveraged to help meet non-published FDA expectations and to avoid pitfalls related to the development of nasal drug products. The recent experience of completing the vast number of studies and tasks required for new and generic nasal spray products can be used to add significant value to the program.
Authorized Use Only. The AIRLINE shall not use or permit the use of the Airport for any illegal or unauthorized purpose or for any purpose which would increase the premium rates paid by MDAD on, or invalidate, any insurance policies of MDAD or any policies of insurance written on behalf of the AIRLINE under this Agreement.

Authorized Use Only. Bank and Customer shall establish and maintain commercially reasonable procedures and processes to ensure security and confidentiality of both party’s Confidential Information. Customer agrees Bank is not responsible for designating any information relating to the Services that it provides to the Customer as confidential, sensitive or otherwise protectable, and all such information shall be considered Confidential Information of the Bank. Customer will treat all technical, financial, pricing and experiential information received from Bank as Confidential. Neither party will use or disclose Confidential Information of the other except when needed to perform obligations hereunder. Customer agrees that it conducted due inquiry into procedures and practices of Bank as they relate to safeguarding Customer’s information, and they are commercially reasonable and adequate. Customer agrees to only use the Materials for the purposes for which the Bank provided them, and is fully responsible for unauthorized access, use, disclosure or alteration of any Confidential Information of the Bank (including without limitation any of the Materials) by Customer or any of its agents, employees, customers, invitees or other third party that gained access as a result of Customer’s failure to comply with the terms of this Agreement. Customer shall only provide the Materials to those employees and agents with written or otherwise legally required obligations of confidentiality required to receive them in connection with Services. Customer shall only make copies of any Materials as necessary. Customer shall immediately notify the Bank by telephone or promptly confirmed in writing, if any Materials are lost or if their confidentiality is compromised, and use best efforts to regain or mitigate the impact loss or unauthorized disclosure. Customer shall not make unauthorized copies of, translate, reverse engineer, disassemble or decompile any Materials, software or security devices or sell, lease or provide any on a time share basis or as a service bureau. The Customer has sole responsibility for the custody, control and use of all Materials. The Customer agrees that no individual will be allowed to initiate a request, payment order or other instruction contemplated in this Agreement or to have access to any Materials without proper supervision and strict security procedures.
