Availability Limitations. Notwithstanding anything in this Agreement, in no event shall: (i) the last day of a LIBOR Period in respect of a LIBOR Loan; or (ii) the maturity date of a BA Issue, be later than, or extend beyond, the applicable Maturity Date, and no Lender shall have any obligation to make an Advance by way of a LIBOR Loan or a BA Issue, if this Section 2.1(i) would not be complied with.
Availability Limitations. Placing a Deposit Payment does not obligate Starlink to provide you with the Starlink Kit and Services and does not guarantee that the Starlink Kit and Services will be available to you. Prices for the Services and Kits presented at the time you place your Deposit Payment are subject to change to the prices in effect at the time of Order, including any applicable taxes, duties, delivery charges, and any other applicable fees. Enrollment limits may apply based on network availability. Starlink Kit designs and Services are subject to change based on technological innovation. Starlink will not hold your Deposit Payment separately, for example in an escrow account or trust fund, or pay any interest on your Deposit Payment. The Service availability dates are estimates only and subject to change. Starlink does not guarantee when Services will actually be available in your region. Service delivery is dependent on many factors, including various regulatory approvals.

Availability Limitations. The maximum outstanding balance of this Note shall be limited as the Amount of the Revolving Credit Line is restricted in the Eighth Amended and Restated Schedule to Loan and Security Agreement, as even date herewith, as follows: if a Default or Event of Default exist on the date of any increase of the "Amount of the Revolving Credit Line" as set forth below, the "Amount of the Revolving Credit Line" shall not increase, and shall only increase thereafter, at the sole discretion of Lender: i. If the date of determination is on or before June 30, 1998, then the Amount of Revolving Credit Line shall be Thirty Million Dollars ($30,000,000.00); ii. If the date of determination is after June 30, 1998, but on or before September 30, 1998, then the Amount of Revolving Credit Line shall be Thirty Two Million Five Hundred Thousand Dollars ($32,500,000.00); and iii. If the date of determination is after September 30, 1998, then the Amount of the Revolving Credit Line shall be Thirty Five Million Dollars ($35,000,000.00).

  • General Availability The commitment to availability specified in the letter of appointment shall be subject to mutually acceptable revision. Such revision will occur once per year, or, if mutually agreed between the Employer and the employee, on a more frequent basis. The Employer will issue a revised letter of appointment to reflect approved changes to employee’s general availability.

  • High Availability Registry Operator will conduct its operations using network and geographically diverse, redundant servers (including network-­‐level redundancy, end-­‐node level redundancy and the implementation of a load balancing scheme where applicable) to ensure continued operation in the case of technical failure (widespread or local), or an extraordinary occurrence or circumstance beyond the control of the Registry Operator. Registry Operator’s emergency operations department shall be available at all times to respond to extraordinary occurrences.

  • FUNDING AVAILABILITY This Contract is contingent upon the continued availability of funding. If funds become unavailable through the lack of appropriations, legislative or executive budget cuts, amendment of the Appropriations Act, state agency consolidation or any other disruptions of current appropriations, DFPS will reduce or terminate this Contract.

  • RDDS availability Refers to the ability of all the RDDS services for the TLD, to respond to queries from an Internet user with appropriate data from the relevant Registry System. If 51% or more of the RDDS testing probes see any of the RDDS services as unavailable during a given time, the RDDS will be considered unavailable.

  • Billing Limitations a. DSHS shall pay the Contractor only for authorized services provided in accordance with this Contract. b. DSHS shall not pay any claims for payment for services submitted more than twelve (12) months after the calendar month in which the services were performed. c. The Contractor shall not bill and DSHS shall not pay for services performed under this Contract, if the Contractor has charged or will charge another agency of the state of Washington or any other party for the same services.

  • Non-Availability of Funds The obligation of the RCO to make payments is contingent on the availability of state and federal funds through legislative appropriation and state allotment. If amounts sufficient to fund the grant made under this Agreement are not appropriated to RCO for expenditure for this Agreement in any biennial fiscal period, RCO shall not be obligated to pay any remaining unpaid portion of this grant unless and until the necessary action by the Legislature or the Office of Financial Management occurs. If RCO participation is suspended under this section for a continuous period of one year, RCO’s obligation to provide any future funding under this Agreement shall terminate. Termination of the Agreement under this section is not subject to appeal by the Sponsor.

  • Minimum Availability Borrower shall have minimum availability immediately following the initial funding in the amount set forth on the Schedule.

  • Availability Reserves All Revolving Loans otherwise available to Borrower pursuant to the lending formulas and subject to the Maximum Credit and other applicable limits hereunder shall be subject to Lender's continuing right to establish and revise Availability Reserves.

  • Availability of Rule 144 The Purchaser shall not be obligated to register shares of DocuNet Common Stock held by the Seller at any time when the resale provisions of Rule 144(k) (or any similar or successor Seller provision) promulgated under the Securities Act are available to the Seller.

  • Undrawn Availability After giving effect to the initial Advances hereunder, Borrowers shall have Undrawn Availability of at least $10,000,000;
