AXA and PR Exclusivity, Shareholders’ Approval. 10.1 Subject to the terms as set forth in Annex 10, the Parties acknowledge that AXA and its Affiliates shall be exclusive partner of the Company for Insurance Business (as defined in Annex 10) directly or indirectly undertaken by the Company and/or its current or future Portfolio Companies.

  • Shareholders' Approval The holders of not less than a majority of the outstanding common stock of the Purchaser shall have voted for authorization and approval of this Agreement and the transactions contemplated hereby.
