Bank Services. At a Borrower’s request, Bank may make available certain Bank Services from time to time, including without limitation any commercial credit card program offered through US Bank National Association, Canada Branch (the “Credit Card Facility”), and all such Bank Services shall constitute Obligations secured by the Collateral. The terms and conditions of the Credit Card Facility shall be set forth in Bank’s standard US Bank Canada Commercial Card Acknowledgement and Indemnity Agreement, which shall be entered into by the applicable Borrower as a condition to the Credit Card Facility. Each Borrower agrees to pay amounts due pursuant to the Credit Card Facility on demand by Bank, and acknowledges that the Credit Card Facility may be terminated at any time upon notice by Bank.
Bank Services. The Contractor and each subcontractor are encouraged to use the services of banks owned and controlled by socially and economically disadvantaged individuals. Such banking services and the fees charged for services typically will not be eligible for DBE Program contract goal credit. Bank Services. During the term of this Agreement the Bank shall furnish the Bank Services in respect of all Merchant Agreements and shall use its Commercially Reasonable Efforts to meet the applicable Service Levels.
Bank Services. During the term of this Agreement
(a) The Bank will remain a member of the Card Associations and serve as the Acquiring Bank or Acquiring Member (as those terms are defined in the Rules) for those Merchants who enter into Merchant Agreements including obtaining and providing the BINs and ICAs necessary for clearing and settlement of Merchant credit and debit card and related transactions for the Merchant Program. As provided in Section 8.2 hereof, Company shall be responsible for and pay any reasonable out-of-pocket costs of Bank in obtaining or maintaining BINs and ICAs for the Merchant Program. Bank shall not otherwise utilize BINs and ICAs used for the Merchant Program for any of its other merchant acquiring programs, including Bank’s own programs or programs Bank provides for any other third party, without the prior written consent of Company.
(b) Provided Company meets and performs its representations, warranties and agreements hereunder, Bank will clear and settle transactions through the Card Associations as provided in Article V hereof. Company agrees that all clearing and settlement using Bank’s BINs and ICAs for the Merchant Program shall be performed by the Third Party Provider, and that the Third Party Provider will, in accordance with the terms of the Processing Agreement, be the preferred provider for authorization services using Bank’s BINs and ICAs for the Merchant Program to the extent the Third Party Provider offers such authorization services; provided, however, that the foregoing shall not apply to Company’s use of providers other than the Third Party Provider in connection with acquired merchants which may be added to the Merchant Program as provided in Section 3.3, so long as such use does not constitute a breach by Company under the Processing Agreement.
(c) Bank agrees to allow Company to use the name, logo and specified trademarks of Bank as set forth in Exhibit 2.2C solely in connection with the Merchant Program as required under the Rules, such as on Merchant Agreements, provided that any such other use shall require the prior written approval of Bank, such approval not to be unreasonably withheld or delayed and consistent with any Bank usage guidelines. If such approval is granted, Company may utilize such names, logos or marks subject to Bank’s prior approval of such materials. Bank Services. At no cost to Tech, Bank shall provide use of ACH and wire transfer systems to debit and credit accounts and shall enable interfaces to Bank systems as outlined in Appendix A to Schedule A (“Bank Interfaces”) as necessary to complete the transactions facilitated by the PayMode Processing Services, solely for Bank’s Customers. Bank shall provide sponsorship of Tech to [**] as a condition of Tech entering into a direct relationship with [**] solely to provide the PayMode Processing Services to Bank’s Customers.
Bank Services. 4.1 For two (2) years following the Effective Time, QIWI covenants that at least one half of the total transactions processed by the Contact money transfer system during such two-year period shall be settled through PJSC Khanty-Mansiysk Bank Otkritie, provided that QIWI may terminate its obligation under this Clause 4.1 at any time, in which case it shall pay to Otkritie a fee equal to the demonstrated costs incurred by Otkritie for such period starting from 1 September 2014, until the date of termination of QIWI’s obligations under this Clause 4.1 in connection with (i) the transfer of settlement bank function to PJSC Khanty-Mansiysk Bank Otkritie ; and (ii) supporting the settlement bank functionality for the Contact money transfer system, provided further that such fee shall in no event exceed RUB 50 000 000 (fifty million roubles).
Bank Services. (1) During the term of this Agreement, the Bank and BAMSI will cooperate and work together to market and promote the products and services of the Bank or its affiliates ("Bank Services") to Customers. Bank Services will include, without limitation, deposit-related accounts, credit-related products, ATM sales and distribution, Business Banking, Commercial Cards (including Corporate Cards and Purchasing Cards), interactive banking and home banking. BAMSI will not promote banking products and services other than Bank Services and will market and promote Bank Services according to standards or requirements which the parties may establish from time to time by mutual agreement.
(2) BAMSI will give the Bank access to BAMSI's retail and commercial solicitation and distribution channels which include, without limitation, direct mail, statement inserts, telemarketing, Internet and other on-line media and cross-sell databases. If, through expansion, merger or acquisition, BAMSI acquires or adds new businesses, offices or sales forces, BAMSI will give the Bank access to any new or additional solicitation and distribution channels available through BAMSI's new businesses, offices or sales forces.
Bank Services. During the Term the Bank shall provide the Bank Services as set out in Schedule 3.2.1 (Bank Services and Fees) unless otherwise agreed with the Joint Venture or provided for in this Agreement. The Bank shall ensure that the Bank Services shall not (i) give rise to any material deterioration in the services and functionalities provided or supported by the Bank prior to the Effective Time which are equivalent to the Bank Services; and (ii) cause any breach of the Merchant Agreements. The Bank shall provide the Bank Services in accordance with the standards applied before the Completion Date and in accordance with the service levels described in Schedule 3.2.2 (Bank Service Levels). Except for a breach of a Bank Critical Service Level which is set forth in Section 15.3 (c), no breach of a Bank Service Level hereunder shall constitute a Bank Default.
Bank Services. Borrower may use, and Bank will provide, subject to (i) satisfaction of the conditions precedent (A) herein and (B) in the applicable Bank Services Agreement and (ii) the execution of such further documentation in connection therewith as Bank may reasonably request, Bank Services in an aggregate amount not to exceed Seven Hundred Fifty Thousand Dollars ($750,000.00). Any amounts due and owing to Bank in respect of Bank Services will accrue interest at an interest rate not to exceed the interest rate applicable to Advances.”
